What the HR Personal Assistant Agreement Covers

The HR Personal Assistant Agreement is a written contract that sets the terms between an employer and a personal assistant who performs human resources–related tasks. It defines the assistant’s duties, work schedule, compensation, confidentiality obligations, data handling for personnel records, and termination procedures. The agreement clarifies whether the assistant is an employee or independent contractor and includes required legal provisions such as nondiscrimination and wage compliance. Where the role touches protected health information, the document should address HIPAA safeguards. The agreement may be executed electronically under ESIGN and state UETA statutes.

Why a Clear Agreement Matters

Use an HR Personal Assistant Agreement to reduce role ambiguity, protect confidential personnel data, and document pay and termination terms. A clear agreement also helps meet legal obligations and supports consistent HR operations across departments.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

Employers, HR teams, and small-business owners use this agreement to formalize responsibilities, protect data, and ensure consistent HR practices.

  • In-house HR managers who delegate administrative or employee-relations tasks regularly.
  • Small-business owners hiring a part-time assistant for recruiting, onboarding, and recordkeeping.
  • Staffing firms or contractors providing outsourced HR support under client agreements.

Legal counsel, payroll teams, and hiring managers commonly review the executed agreement to confirm classification and compliance.

Essential Provisions to Include

Core provisions and practical clauses that should appear in a professional HR Personal Assistant Agreement to protect parties and ensure operational clarity.

Scope of Work

Define specific HR functions the assistant will perform, excluding unrelated duties. Include limits on decision authority and examples of daily tasks to avoid ambiguity.

Compensation

Specify rate, overtime eligibility, benefits entitlement, reimbursement policy, pay schedule, invoicing procedures for contractors, and tax withholding responsibilities.

Confidentiality

Require nondisclosure of personnel records, limit access, specify permitted disclosures, and outline data handling procedures consistent with HIPAA where health information is involved.

Classification

State whether the assistant is an employee or independent contractor, explain tax withholding and benefits implications, and include remedies for misclassification.

Termination

Detail notice periods, cause grounds, final pay procedures, return of documents, and post-termination confidentiality obligations.

Compliance & Policies

Reference applicable company policies, nondiscrimination, background checks, security training, and compliance with federal statutes including ESIGN and UETA for electronic execution.

Security and Compliance Controls to Note

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest.
Audit Trail: Timestamps, IP, and action history.
Access Controls: Role-based permissions and SSO support.
HIPAA Support: BAA available for protected health information.
Compliance Certifications: SOC 2 Type II, ISO 27001, PCI DSS.
Retention Controls: Secure storage and exportable signed PDFs.

Key Risks and Potential Penalties

Misclassification Risk: IRS penalties and back taxes.
I-9 Violations: Fine range $281–$2,789 per violation.
HIPAA Breach: Civil and monetary penalties for PHI exposure.
Data Exposure: Reputational harm and regulatory scrutiny.
Contract Disputes: Litigation costs and injunctive relief.
Tax Withholding: Backup withholding 24% for missing TIN.

Common Preparation Mistakes to Avoid

  • Failing to specify whether the assistant is an employee or contractor often leads to payroll, tax, and benefits disputes that trigger audits or reclassification penalties.
  • Overly vague duty descriptions cause scope creep; without clear deliverables and limits, assistants may be asked to perform unauthorized HR decisions.
  • Not addressing confidentiality and HIPAA requirements when handling personnel health information increases breach risk and regulatory exposure under 45 CFR §164.530(j).
  • Skipping written consent for electronic signatures or failing to capture audit trails can undermine enforceability under the ESIGN Act and state UETA rules.
