What an HR Recruiting Engagement Letter Is and Why It Matters

An HR Recruiting Engagement Letter is a written agreement that defines the relationship between a hiring organization and a recruiter or recruiting firm. It typically describes the scope of services, fee structure, placement guarantees, timelines, candidate ownership, confidentiality, and termination rights. The document helps set expectations for sourcing, interviewing, reference and background checks, and fee triggers such as offer acceptance or start date. Properly drafted, an engagement letter reduces disputes, clarifies payment obligations, and documents consent for any candidate screening that implicates privacy or employment law.

Why Use a Formal Engagement Letter for Recruiting

A clear engagement letter protects both parties by documenting fees, timelines, and scope of services; it reduces misunderstandings and supports enforceability under contract law and applicable e-signature statutes.

Why Use a Formal Engagement Letter for Recruiting

Who Typically Uses an HR Recruiting Engagement Letter

Common users include corporate HR teams, external recruiting firms, hiring managers, and in-house counsel who need clarity on fees and candidate ownership.

  • Recruiting firms and independent recruiters who want written confirmation of commission triggers and candidate ownership.
  • Corporate HR and talent acquisition teams using the letter to standardize third-party sourcing terms across hiring managers.
  • Legal and compliance teams that require documented consent for background checks and data handling.
