What an HR Recruiting Service Agreement Covers

An HR Recruiting Service Agreement is a written contract that defines the relationship between an employer and a recruiting firm or independent recruiter engaged to source, screen, and present candidates for hire. It sets out the scope of recruiting services, candidate ownership and exclusivity, fee structures and timing, replacement guarantees, confidentiality obligations, compliance with employment and equal opportunity laws, and termination rights. The agreement clarifies who authorizes hires, how fees are invoiced and paid, and the remedies available if placements fail to meet agreed standards.

Why a Clear Agreement Matters for Hiring

A clear HR Recruiting Service Agreement reduces hiring disputes, sets predictable costs, and protects confidential candidate information. It aligns expectations on timelines, guarantees, and compliance with federal employment laws such as EEOC requirements, and supports enforceable fee and replacement provisions for both parties.

Why a Clear Agreement Matters for Hiring

Who Typically Uses This Agreement

Common users of an HR Recruiting Service Agreement include both hiring organizations and recruiting vendors.

  • In-house HR teams formalizing contingency or retained recruiter engagements.
  • Staffing agencies documenting fee schedules, replacement guarantees, and candidate ownership.
  • Legal counsel reviewing terms for compliance, indemnities, and termination mechanics.

Use the agreement when outsourcing search activities, engaging retained recruiters, or formalizing referral arrangements with partners.

Core Sections to Include in the Agreement

A professional HR Recruiting Service Agreement includes clear fee terms, candidate ownership rules, confidentiality protections, replacement guarantees, compliance clauses, and defined responsibilities to reduce hiring disputes and legal exposure.

Fees

Specify whether fees are contingency, retained, or flat; indicate calculation basis (percentage of first year compensation or flat amount), invoicing schedule, and any local taxes or reimbursement obligations.

Candidate Ownership

Define which candidates are considered 'introduced' or 'owned' by the recruiter, the look-back period, and conditions that transfer ownership to the employer, including submitted resume dates and communication records.

Confidentiality

Include obligations to protect candidate personal data, permitted disclosures, data retention limits, and a requirement for compliance with applicable privacy laws such as HIPAA when handling protected health information.

Guarantees

State replacement periods and conditions under which a free or discounted replacement is provided, process for requesting replacements, and limitations on liability for unsuccessful hires.

Compliance

Require adherence to equal employment opportunity laws, immigration verification (I-9 completion by employer), and any industry-specific certifications or background check standards, including fingerprinting or drug testing where required.

Termination

Specify notice periods, material breach definitions, post-termination obligations such as confidentiality or candidate non-solicitation, and payment obligations for work performed prior to termination, including final invoicing and dispute resolution steps.

Who Signs and Why

Hiring Manager

A hiring manager signs to confirm the employer's needs, approves candidate profiles, and authorizes fee payments. They are responsible for timely feedback, compliance with nondiscrimination rules, and confirming offers match the recruiting brief to trigger fee obligations.

Recruiter Director

The recruiting agency director executes the agreement on behalf of the firm, ensures candidate sourcing meets ethical standards, maintains candidate confidentiality, documents search activity, and manages replacement obligations and invoicing in accordance with the contract terms and applicable employment laws.

Common Mistakes to Avoid

  • Failing to define candidate ownership leads to fee disputes when applicants are later hired through internal channels without clear attribution.
  • Using vague fee formulas or omitting calculation basis causes billing disagreements and delays in payment processing between recruiter and employer.
  • Not including a replacement guarantee or specifying its scope can leave employers without remedies for early candidate terminations.
  • Ignoring privacy and data protection obligations risks HIPAA, OFCCP, or state privacy law violations when sensitive candidate information is mishandled.

Consequences of an Incorrect or Missing Agreement

Fee Disputes: Delayed or withheld payments
Tax Reporting: Incorrect 1099 or withholding
I-9 Noncompliance: Civil penalties and fines
Breach of Privacy: Regulatory fines, reputational harm
Contract Invalidity: Unenforceable terms due to ambiguity
Litigation Risk: Costly disputes and legal fees

Key Filing and Compliance Deadlines

Key filing and retention deadlines tied to recruiting-related forms and employment verification are important for compliance and tax reporting.

Provide W-9 to payer upon request:

No specific deadline; supply to payer to avoid backup withholding.

Issue 1099-NEC to recipients by Jan 31:

File with IRS and furnish recipients by Jan 31 to avoid penalties.

I-9 retention: store for required period:

Retain I-9 for 3 years after hire or 1 year after termination, whichever is later.

Reminder: submit tax forms by IRS deadlines:

Missing filing windows may trigger IRC §6721 penalties per form, escalating with delay.

Notice periods for termination and replacements:

Specify notice windows for termination, candidate replacement requests, and invoicing timelines in the agreement.
