What the HR Recruiting Services Agreement Is

A HR Recruiting Services Agreement is a written contract outlining the relationship between an employer and a recruiting vendor or staffing agency. It defines services to be provided (sourcing, screening, interviewing), pricing and payment terms, candidate ownership and replacement policies, confidentiality and data handling obligations, deliverables and timelines, and mechanisms for termination and dispute resolution. The agreement helps set expectations for candidate quality, placement fees or retainers, and compliance with employment and data-protection laws applicable to the hiring process.

Why this agreement matters for hiring operations

A clear HR Recruiting Services Agreement reduces disputes, clarifies liability for candidate sourcing and placement fees, and documents confidentiality and compliance obligations related to personally identifiable information collected during recruitment.

Why this agreement matters for hiring operations

Who commonly prepares and signs this agreement

Typical users range from in-house HR teams to procurement and legal departments when engaging third-party recruiters or staffing agencies.

  • In-house HR teams responsible for vendor selection and onboarding
  • Procurement or purchasing when fees and payment terms must be centrally managed
  • Legal counsel or outside counsel for contract review and liability allocation

Depending on company size, signature authority may be centralized (procurement/finance) or delegated to HR leaders; confirm signer authority before executing.

Core clauses to include in a professional recruiting agreement
