What an HR Referral Services Agreement Covers

An HR Referral Services Agreement is a written contract between an organization and an individual or agency that refers candidates or clients in exchange for a defined fee or commission. The agreement sets scope (who may be referred and which roles), referral fee formula, timing and method of payment, reporting and documentation requirements, confidentiality and non-solicitation obligations, dispute resolution, and term/termination mechanics. For U.S. transactions, these agreements are routinely executed electronically under the ESIGN Act and state UETA laws when the parties show intent, consent, attribution, and retention capability; specialized provisions may be required for regulated industries such as healthcare or finance.

Why use a formal Referral Services Agreement

A clear agreement reduces disputes, ensures consistent payout timing and calculation, preserves candidate privacy, and documents compliance steps such as background checks or required disclosures under industry rules. Well-drafted terms protect both the hiring organization and the referrer by assigning risk and clarifying remedies.

Why use a formal Referral Services Agreement

Who commonly uses this agreement

Typical users include internal HR teams, staffing or recruiting agencies, and independent referrers who introduce candidates or clients to a company.

  • HR departments and talent acquisition teams managing formal referral programs and vendor relationships.
  • Recruitment and staffing agencies arranging fee-based candidate introductions under written terms.
  • Independent referrers, contractors, or business development partners paid on successful placement or engagement.

Use the agreement to document eligibility, payment triggers, and confidentiality obligations so payments and tax reporting (for example, W-9 collection) are handled consistently.

Core sections to include in a professional agreement

A concise agreement balances clarity and enforceability; include terms that define performance triggers, fee calculations, timelines, and compliance obligations.

Parties

Identify the hiring organization and the referrer by legal entity name, including EIN or SSN as needed for tax reporting and payment processing.

Scope

Define what qualifies as a referral (candidate introduction, client lead), covered positions or services, geographic limits, and exclusion lists for known candidates or clients.

Referral Fee

Specify fee method (flat fee, percentage of first-year compensation, or fixed milestone), calculation examples, and rounding rules to prevent disputes.

Payment Terms

State payment timing (e.g., within 30 days of hire or invoice), invoicing requirements, deductions, and tax treatment obligations (W-9, backup withholding triggers).

Confidentiality

Include nondisclosure obligations for candidate data, compliance with applicable privacy laws, and permitted disclosures for screening or onboarding.

Termination & Disputes

Cover notice periods, effect of termination on pending referrals, applicable governing law, and dispute resolution methods such as arbitration or courts.

Step-by-step: complete and execute this agreement

Follow these steps to prepare, sign, and archive the agreement with clear audit trail information.

  • 01
Prepare draft: Populate parties, scope, fee, and payment terms before circulation.
  • 02
Collect tax info: Obtain W-9 and TIN verification where applicable prior to first payment.
  • 03
Sign electronically: Execute via compliant eSignature platform; ensure intent and consent are recorded.
  • 04
Store record: Archive the signed agreement with the audit trail and associated documents for retention compliance.

How to set up a repeatable digital workflow

Map fields and routing rules so each referral follows the same steps from intake to payment.

Field Configuration
Referrer Details Required | Validate TIN and email address
Candidate Info Optional | Include name, role referred, submission date
Approval Routing HR | Auto-notify hiring manager and payroll
Payment Trigger Condition | 'Start date met' or 'invoice approved'

Typical submission and approval flow

A standard sequence reduces processing delays and captures required records at each handoff.

  • Referrer Submits: Referrer submits candidate details and required tax forms.
  • HR Reviews: HR verifies eligibility and records the referral in ATS.
  • Hiring Decision: Hiring manager confirms placement and start date.
  • Payroll Pays: Payroll issues fee per agreement and records tax treatment.

Digital signing and technical compatibility

Choose a platform that supports common document formats, secure authentication, and integrations to reduce manual steps.

  • File formats: PDF | DOCX | HTML | Excel supported for templates and exports
  • Integrations: Connectors for ATS/HRIS and storage: Salesforce, NetSuite, Google Workspace, Box
  • Authentication: Email link, SMS code, or stronger MFA options per risk profile

Ensure the chosen platform provides an audit trail with timestamps and signer attribution and, for regulated workflows, supports BAA or other compliance addenda where required.

Key dates and timing expectations

Set clear deadlines for payment, reporting, and termination to avoid disputes and ensure accurate tax handling.

Effective date:

Starts obligations and referral eligibility; set as MM/DD/YYYY.

Payment due:

Typical term: payment within 30 days of invoice or candidate start date.

Reporting cadence:

HR documents placements in ATS within 7 business days of hire.

Termination notice:

Standard 30-day written notice for contract termination.

Tax forms:

Collect W-9 before first payment to avoid backup withholding.

Common mistakes to avoid

  • Vague fee language that omits calculation examples leads to interpretation disputes and delayed payments.
  • Failing to collect W-9s before paying can trigger IRC backup withholding and additional administrative work.
  • Overlooking data-privacy obligations when referring healthcare or financial candidates can create HIPAA or consumer-privacy exposure.
  • Using unsigned or improperly executed digital copies without an audit trail may impair enforceability under ESIGN/UETA.

Short summary of legal and tax risks

Missing W-9: Triggers 24% backup withholding
Incorrect TIN: Leads to IRS notice and possible penalties
I-9 Errors: Potential fines under 8 CFR §274a.2
HIPAA Breach: Civil penalties and corrective action
Unclear Fee Terms: Contract disputes and delayed collections
Intentional Misreporting: Higher penalties under IRC §6721
