What the HR SRA Document Is and When It’s Used

The HR SRA Document (Separation and Release Agreement) is an HR contract that records the terms of an employee separation and any mutual release of claims. It typically sets severance amounts, payment timing, benefit continuation, confidentiality and return-of-property obligations, and any restrictive covenants. Employers use an SRA to memorialize consideration in exchange for a release of claims; employees receive defined consideration and revocation terms. Accurate, signed SRAs reduce ambiguity after separation and provide a documented basis for payroll, tax reporting, and dispute resolution.

Sequential Steps to Complete an HR SRA Document

Follow these sequential steps to complete execution and acceptance of the HR SRA Document accurately and efficiently.

  • 01
Prepare Agreement: Assemble terms, severance schedule, and supporting exhibits.
  • 02
Review Legality: Have counsel confirm enforceability and state compliance.
  • 03
Obtain Signatures: Collect signatures and dates from all parties.
  • 04
Finalize Payment: Process severance and record payment for audit.

Key Sections to Include in a Professional HR SRA Document

Core components of a compliant HR SRA Document ensure clear payment terms, mutual releases, confidentiality, tax treatment, return of property, and post-employment obligations.

Severance Payment

Specify gross and net severance amounts, exact payment schedule, payment method, and any prorations; state tax-withholding method and whether gross-up applies for tax liabilities to avoid confusion.

Release of Claims

Provide precise mutual release language, list categories of claims released, carve out legally required exceptions, and tie the effective release to employee signing and any revocation period.

Confidentiality

Define protected information, permitted disclosures, duration of obligations, and exceptions for legal compulsion or cooperation with government inquiries while protecting trade secrets.

Noncompete/Non-solicit

If included, define geographic scope, restricted activities, duration, and consideration; ensure terms comply with applicable state law and are severability-ready.

Return of Property

List company property to be returned, deadlines, contact for logistics, and consequences for noncompliance such as withholding or indemnification remedies.

Tax and Benefits

State how severance is reported and withheld, whether benefits continue or convert to COBRA, and who pays premiums or provides tax gross-ups if applicable.

Typical Users and Stakeholders for the HR SRA Document

HR teams, in-house counsel, and HR vendors use the HR SRA Document to standardize separations, severance terms, and release language across exits.

Common Mistakes When Preparing an HR SRA Document

  • Using vague consideration language such as 'reasonable severance' without dollar amounts or schedules, which can make a release unenforceable or create payment disputes.
  • Including restrictive covenants in states where noncompetes are broadly unenforceable, risking partial invalidation of the agreement and litigation over severability.
  • Failing to specify tax treatment or withholding responsibilities for severance, which can lead to payroll errors, incorrect W-2 reporting, or backup withholding triggers.
  • Omitting a clear acceptance and revocation timeline or failing to provide required consumer disclosures for electronic acceptance, which can invalidate the release under ESIGN or state law.

Penalties and Risks from an Incorrect HR SRA Document

Unenforceable Release: Employee may pursue claims if release is defective.
Tax Liability: Misreporting can trigger IRS adjustments or penalties.
COBRA Violations: Improper notice can create statutory penalties.
Privacy Breach: Incorrect handling of PHI triggers HIPAA risk.
State Noncompliance: Violating state restrictions may void clauses.
Litigation Costs: Costs increase if agreement fails to prevent claims.
