What the HR Staff Augmentation Agreement Is

A HR Staff Augmentation Agreement is a contract between a client organization and an external staffing provider that supplies temporary or project-based HR personnel. The agreement defines scope of services, term, payment, intellectual property and confidentiality, performance expectations, onboarding requirements, background checks, and termination rights. It clarifies whether personnel are employees or contractors for tax and benefits purposes, allocates liability and indemnities, and establishes applicable law and dispute resolution. Use this document to formalize resource augmentation while reducing ambiguity about roles, deliverables, and compliance responsibilities.

Why Use a Formal HR Staff Augmentation Agreement

A clear agreement reduces misclassification risk, sets service levels, and protects sensitive HR data. It allocates responsibility for payroll taxes, background checks, and confidentiality, and establishes remedies for poor performance or breaches.

Why Use a Formal HR Staff Augmentation Agreement

Who Typically Uses This Agreement

Organizations that are expanding short-term HR capacity, and staffing firms that supply HR professionals use this form to set expectations and protect both parties.

  • In-house HR teams seeking temporary expertise for peak workloads or projects
  • Staffing agencies providing HR consultants, recruiters, or payroll specialists
  • Legal and procurement teams reviewing contractor terms and liability allocations

Use the agreement when engaging temporary HR specialists for recruiting, benefits administration, payroll support, compliance, training, or HRIS projects.

Authorized Signers and Typical Roles

Client Signatory
