What the HR STI Plan Is and When It Applies

The HR STI Plan (Short-Term Incentive Plan) is a written program that defines eligibility, performance measures, target awards, payout formulas, and timing for short-term cash or non-cash incentives. Companies use an STI Plan to align employee performance with quarterly or annual business objectives and to document how awards are earned, prorated, adjusted, or withheld. A clear plan reduces ambiguity for payroll, tax reporting, and legal review by specifying measurement periods, payout schedules, and the authority that approves exceptions or adjustments.

Why a Formal HR STI Plan Matters

A documented STI Plan creates consistent award mechanics, supports accurate payroll and tax reporting, and reduces disputes over subjective payouts.

Why a Formal HR STI Plan Matters

Who Typically Completes and Signs an HR STI Plan

The HR STI Plan is completed by HR or compensation specialists with input from finance and legal.

  • HR Compensation Teams responsible for plan design and participant communications.
  • Finance / Payroll to validate payout calculations and tax withholding.
  • Legal Counsel or Chief Compliance Officer for plan rules and regulatory review.

Payroll and an authorized executive or board designee must sign or approve the final plan document before payments are processed.

Core Components to Include in a Professional HR STI Plan

A robust STI Plan clearly defines measurable performance metrics, participant categories, award formulas, adjustment rules, and the timeline for measurement and payout.

Eligibility

Define participant groups, hire-date cutoffs, service requirements, and termination/retirement treatment in clear, objective terms.

Performance Metrics

Specify corporate and individual KPIs, measurement methodology, data sources, and rounding rules to prevent interpretation disputes.

Target & Payout Formula

Provide the mathematical formula that converts performance attainment into a dollar amount or percentage, including caps, floors, and prorations.

Adjustment Provisions

List discretion, clawback, and force majeure rules; explain how restatements or accounting changes affect payouts.

Timing & Payment

State the performance period, award determination date, and the scheduled payout date(s), including any deferral or settlement terms.

Approvals & Authority

Identify who approves awards, who can grant exceptions, and the documentation required for manual adjustments or overrides.
