What an Inter Company HR Agreement Is and When it’s Used

An Inter Company HR Agreement is a written contract that sets the terms for one corporate entity to provide human resources services or support to another related company. Typical services include payroll administration, benefits management, employee onboarding, compliance monitoring, and shared HR policy application. The agreement clarifies responsibilities, billing or cost allocation, data handling and confidentiality, liability allocation, and the effective period. It is commonly used within corporate groups, joint ventures, or when a parent company centralizes HR functions to achieve consistency and cost control across affiliated entities.

Why a Clear Agreement Matters for Shared HR Services

A formal Inter Company HR Agreement reduces operational ambiguity, allocates compliance responsibilities, and records how employee data is handled between entities. It protects each party by defining service levels, data security measures, dispute resolution, and financial terms.

Why a Clear Agreement Matters for Shared HR Services

Who typically prepares and signs these agreements

Final signing authority varies by company policy but usually requires an authorized officer plus the HR lead or controller to ensure operational and financial alignment.

  • Corporate HR teams and shared services centers managing day-to-day HR operations across affiliates.
  • Legal and compliance departments reviewing data-sharing, liability and regulatory language.
  • Finance or treasury teams approving cost allocation, invoicing and intercompany billing terms.

Core elements to include in a professional Inter Company HR Agreement

A complete agreement should be precise about scope, data handling, financial terms, and dispute mechanisms so both parties understand obligations and risk allocation.

Scope of Services

Fees and Allocation

Describe pricing method, billing frequency, cost allocation formula, and late payment consequences to ensure predictable accounting treatment.

Data Protection

Service Levels

Include response times, processing windows for payroll or benefits tasks, and remedies for missed service-level targets.

Liability and Indemnity

Allocate responsibility for errors, compliance failures, and third-party claims with clear indemnity and limitation-of-liability language.

Termination

Set termination triggers, notice periods, transition assistance, and handling of confidential records after service end.
