What the Intern Employment Non-Compete Agreement Is

An Intern Employment Non-Compete Agreement is a written contract between an employer and an intern that limits the intern's ability to work for competing businesses or solicit company clients for a defined period after the internship ends. It typically defines restricted activities, geographic scope, duration, consideration given to the intern, and exceptions such as roles that do not implicate trade secrets or client relationships. The agreement helps employers protect confidential information and intellectual property while clarifying post-internship restrictions for the intern. Enforceability varies by state and must be reasonable and supported by consideration.

Why this Agreement Matters for Employers and Interns

A clear intern non-compete documents expectations, protects confidential information and IP, and reduces uncertainty about post-internship employment. Properly written, it lowers the risk of disputes and supports defensible enforcement where state law permits.

Why this Agreement Matters for Employers and Interns

Who Typically Prepares and Signs This Agreement

Human resources, hiring managers, and in-house or outside counsel are usually involved in drafting and approving intern non-compete agreements.

  • HR and Talent Teams — Prepare standard templates and ensure consistency across internship programs while coordinating onboarding.
  • Hiring Managers — Confirm role-specific restrictions align with actual duties and whether a non-compete is appropriate.
  • Legal Counsel — Review enforceability, state-law compliance, and necessary consideration language for the agreement.

Interns should review the agreement, ask questions about scope and duration, and seek independent advice if uncertain.

Core Clauses to Include in a Professional Intern Non-Compete

A focused agreement balances employer protection with the realities of intern roles; each clause should be precise, limited, and supported by consideration.

Restricted Activities

Describe the exact actions that are restricted after the internship, such as soliciting clients, using trade secrets, or performing specific job functions that compete with the employer.

Geographic Scope

Specify the geographic area where restrictions apply, ensuring the region is proportional to the employer's market and the intern's likely sphere of work.

Duration

State a reasonable time limit for restrictions following separation; overly long durations increase the risk of being found unenforceable.

Consideration

Identify what the intern receives in exchange for the restriction (paid internship, training, stipend), since valid consideration is a key enforceability element.

Exceptions

List activities excluded from the restriction, such as general employment in unrelated roles or work that does not use confidential information.

Confidentiality & IP

Include confidentiality and intellectual property assignment provisions that clarify ownership of work product and limit disclosure of company information.

Step-by-Step: Completing and Executing the Agreement

Follow these steps to prepare, review, and finalize an intern non-compete with clarity and legal defensibility.

  • 01
Draft: Populate template fields and limit scope to job-specific restrictions.
  • 02
Legal Review: Have counsel review for state-law compliance and reasonableness.
  • 03
Discuss With Intern: Explain terms, exceptions, and consequences before signing.
  • 04
Execute: Obtain dated signatures from both parties and retain a signed copy.

Configuring an Online Workflow for This Agreement

Set up a secure online workflow that assigns fields, sets authentication, and automates reminders for timely execution.

Field Configuration
Signature Authentication Email link or SMS code; use stronger auth for sensitive roles
Expiration Set document link expiry to prevent late access
Access Control Restrict editing to HR and legal reviewers
Reminder Schedule Automatic reminders until signature or task completion

Where to Send and How the eSignature Flow Works

Use a clear delivery and signing sequence so each signer receives the document in order and the audit trail is preserved.

  • Upload Document: Employer uploads finalized agreement and places required fields.
  • Add Signers: Enter the intern's email and any employer signers in role order.
  • Signer Authentication: Signers authenticate via email link, SMS code, or stronger methods as configured.
  • Completion: Signed copies and audit trail are automatically delivered to parties.

Technical Considerations for Digital Signing

Choose a platform that supports secure authentication, audit trails, and the file formats you use for templates.

  • File Formats: Use PDF or DOCX for consistent, tamper-evident records.
  • Integrations: Connect with HR systems like Workday or ATS via API or built-in connectors.
  • Authentication: Enable email, SMS, or advanced signer verification where appropriate.

Confirm the platform meets applicable compliance needs (for example, ESIGN and UETA adherence) and supports secure long-term storage.
