What an Internship Clerkship Agreement Covers

An Internship Clerkship Agreement is a written contract that defines the relationship between a host organization and an intern or clerk. It sets out the parties, role and scope of duties, supervision and evaluation processes, term and schedule, compensation or academic credit, confidentiality and intellectual property provisions, insurance and liability allocations, and termination conditions. In electronic workflows the document can be signed and retained under federal ESIGN law (15 U.S.C. §7001) and applicable state UETA rules, subject to any statutory exceptions for specific record types.

Why a Clear Agreement Matters

A documented Internship Clerkship Agreement reduces ambiguity about duties, compliance, and liability while protecting institutional and individual interests. It supports clear expectations for supervision, privacy obligations (HIPAA or FERPA where applicable), and remedies for nonperformance or misconduct.

Why a Clear Agreement Matters

Who Typically Uses an Internship Clerkship Agreement

The agreement helps HR, legal, academic offices, and supervising managers coordinate onboarding, documentation, and record retention.

  • Universities and colleges issuing academic credit and scheduling supervision and evaluation timelines.
  • Hospitals and clinical sites arranging clerkships that include patient access and HIPAA protections.
  • Law firms, government agencies, and corporations onboarding interns with access to confidential information.

Core Sections to Include in the Agreement

A professional Internship Clerkship Agreement organizes obligations and protections into clear clauses so both parties understand expectations and legal responsibilities.

Parties & Definitions

Identify each party by legal name, role (student, intern, clerk), and contact details; define key terms used throughout the agreement to avoid ambiguity.

Term & Schedule

Specify effective date, start and end dates, weekly hours, and any probationary or orientation periods; link to academic term if applicable.

Duties & Supervision

List specific responsibilities, reporting lines, supervisor name and contact, training objectives, and how performance will be evaluated and documented.

Compensation & Benefits

State whether position is paid, stipend or credit-based, reimbursement of expenses, payroll classification, and any benefits or insurance coverage provided.

Confidentiality & IP

Include confidentiality obligations, data protection requirements (HIPAA/Federal FERPA considerations), and assignment or ownership of work product and inventions.

Termination & Liability

Set termination for cause or convenience, notice periods, return of property, liability limits, and dispute resolution or governing law choice.

Start Date:

Actual first day of work or clinical duties.

Background Check Deadline:

Complete prior to start for positions with access to sensitive data.

Common Pitfalls to Avoid

  • Leaving duties vague or relying on informal emails rather than clear contractual language leads to disputes over scope and supervision.
  • Failing to address compensation or credit explicitly can trigger wage claims or academic appeals and delay payroll setup.
  • Omitting data protection clauses for clinical or student records risks HIPAA or FERPA noncompliance with legal consequences.
  • Not defining termination notice, return of property, or intellectual property ownership creates enforcement challenges if issues arise.

Key Risks and Potential Consequences

Liability Exposure: Legal claims possible
HIPAA Violation: Civil penalties risk
Wage Claims: FLSA misclassification risk
Immigration Compliance: Work authorization issues
Contract Disputes: Litigation or arbitration
Invalid Signature: Enforceability problems

Practical Tips for Accurate and Efficient Completion

Follow these best practices to limit rework and preserve enforceability when executing internship and clerkship agreements.

Standardize a Template
Use a vetted template with modular clauses for duties, compensation, confidentiality, and termination to ensure consistency and reduce legal review time.
Verify Identity Upfront
Confirm the intern's legal name and work authorization before start date; use stronger authentication for sensitive access or clinical roles.
Attach Required Documents
Include background checks, immunization records, BAAs, or FERPA consents as attachments rather than embedding them in free-text fields.
Record Retention Plan
Define where executed agreements are stored, who has access, and how long records will be retained to meet IRS, HIPAA, and institutional policies.
