What an Internship Employment Agreement Covers

An Internship Employment Agreement is a written contract that documents the terms between an organization and an intern, including role description, duration, compensation (if any), supervision, confidentiality, intellectual property assignment, and termination terms. The agreement clarifies expectations for both parties, reduces dispute risk, and provides a record for payroll, tax, and compliance purposes. When properly executed it supports onboarding, ensures work-authorized status for hires, and can be retained as part of the employee record for required retention periods under federal and state rules.

Why a Formal Agreement Matters for Internships

A formal internship agreement establishes mutual expectations, documents pay and benefits, and helps prove the nature of the relationship for wage-and-hour and tax purposes. It also protects proprietary information and clarifies ownership of work product under applicable IP and employment laws.

Why a Formal Agreement Matters for Internships

Who typically prepares and signs these agreements

HR teams, hiring managers, legal departments, university career offices, and staffing agencies commonly prepare internship employment agreements.

  • Employers use the agreement to document duties, supervision, pay, and termination terms for each intern.
  • Interns (or, if minors, parents/guardians) review and sign to acknowledge terms, confidentiality, and IP provisions.
  • Universities and training programs may require agreements to confirm educational objectives and credit arrangements.

Signatories should ensure the agreement aligns with wage-and-hour rules, work-authorization checks, and any institution-specific requirements before finalizing.

Step-by-step: Completing the agreement

Follow this sequence to prepare, review, and execute the internship agreement correctly.

  • 01
Draft: Populate parties, role, dates, and compensation.
  • 02
Review: Legal or HR checks classification and compliance.
  • 03
Authenticate: Complete I-9 and any permission forms.
  • 04
Execute: Collect signatures and store signed copy.

Essential clauses to include in a professional agreement

A complete internship employment agreement balances operational clarity with legal safeguards. Include the following elements to cover performance, compliance, and risk allocation.

Position Summary

A concise description of duties, expected hours, supervisor, and location so the role is clearly defined for payroll and oversight.

Term and Schedule

Start and end dates, expected weekly hours, and any probationary or extension terms to manage expectations and contract lifecycle.

Compensation

Hourly rate, stipend, unpaid status, expense reimbursement, and payment schedule. Clearly state when and how payment is provided.

Work Authorization

Requirement to complete Form I-9, acceptable documents, and any state-required work permits for minors.

Confidentiality & IP

Nondisclosure terms, ownership of work product, and any required assignment of inventions consistent with state law and educational institution policies.

Termination & Remedies

Notice periods, grounds for termination, return of materials, and post-termination obligations such as non-solicit or confidentiality survival.

Security and compliance items to note

Encryption: TLS 1.2/1.3; AES-256 at rest
HIPAA: BAA required for PHI
Audit Trail: Timestamps and IP logs
ESIGN/UETA: Recognized e-sign laws
Access Controls: Role-based permissions
Certifications: SOC 2 Type II; ISO 27001

Common errors to avoid when preparing the agreement

  • Using vague compensation language that leaves pay rate, schedule, or reimbursable expenses undefined and creates payroll disputes.
  • Omitting I-9 completion or delaying document review beyond the legally required time, causing compliance exposure and fines.
  • Failing to address minor status and required work permits for interns under 18, which can violate state child labor laws.
  • Neglecting confidentiality and IP clauses that clarify ownership of projects produced during the internship period.

Potential legal and financial risks

I-9 Violations: 8 CFR §274a.2 fines
Wage Claims: FLSA back pay risk
Incorrect Classification: Civil penalties possible
Tax Reporting Errors: Withholding penalties
Privacy Breach: HIPAA/FERPA exposure
IP Disputes: Ownership litigation

How electronic execution works for this agreement

Electronic signing follows a standard sender-signature-audit flow; ensure consent and retention to meet ESIGN and UETA requirements.

  • Upload Document: Sender uploads the agreement to the signing platform.
  • Place Fields: Add signature, initials, and date fields for each party.
  • Authenticate Signer: Use email, SMS, or stronger authentication as needed.
  • Capture Audit Trail: System records timestamps, IPs, and certificates.

Typical digital workflow settings for HR use

Configure a signing workflow that matches your HR intake: send, authenticate, complete, and store with an auditable trail.

Field Configuration
Signer Order Sequential or parallel routing
Authentication Email, SMS code, or 2FA
Notifications Automatic reminders and escalation
Storage Encrypted archive and retention tags

Technical considerations for eSigning and storage

Ensure the chosen eSignature platform supports necessary integrations, authentication, and compliance for HR records.

  • Integrations: Connects with HRIS and ATS
  • File Formats: PDF, DOCX, and HTML
  • Authentication: SMS, KBA, SSO options

Confirm platform security (encryption, audit trail), availability of a BAA for healthcare settings, and compatibility with existing document storage systems.
