Whereas, Seller is the owner and holder of a Promissory Note and Mortgage made by ________________________ (name of borrower) to ___________________ (name of lender), dated ________________ (date), said Mortgage having been recorded in the Office of the (e.g., County Recorder) ____________________ of __________________ (name of county), _________________ (name of state), on __________________ (date), in Book _________, at Page ________, covering the premises described in Exhibit A attached to and made a part of this Agreement; and Whereas, said Note and Mortgage and all modifications, amendments, and supplements, if any, to either of the instruments, are respectively and collectively referred to in this Agreement as the Note and Mortgage and attachments of which are attached to this Agreement as Exhibit B and Exhibit C, respectively; and Whereas, the Note and Mortgage were assigned to Seller by ________________ (name) by Assignment dated ________________ (date); and Whereas, Seller desires to sell and assign and Purchaser desires to purchase the Note and Mortgage; Now, therefore, for and in consideration of the mutual covenants contained in this agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. The purchase price is (amount) and the mortgage will be payable by an assignee, by first payment, or on first payment when the note and mortgage have been fully paid, subject to an option to extend the deadline to such time as the parties may jointly agree. 2. Buyer agrees to sign a deed and title paper and pay a security deposit, by (amount) and in cash (if requested), to be held in trust by the party giving the security deposit, and agrees to make his deed and title of record and the mortgage documents attached hereto and formed thereon and to file them in the office of (name), the (recorder) of (, county for which the loan was made, if different), together with a description and inventory of property or of any interest therein as soon as reasonably practicable after the closing. 3. If buyer sells the property for more than the amount purchased or assignee, purchaser, desires to purchase the note and mortgage, the parties may, at their discretion, agree to settle the value by mutual agreement. 4. Seller agrees to sell to purchaser the property, and agrees to transfer title as required by law. 5. Buyer does not have any interest in the note or mortgage. Seller may exercise the right to resell the property at the same or a later date. 6. Buyer receives the note and mortgage, is free to sell and dispose of the property and agrees, upon giving buyer a signed copy of the document, that the buyer shall be entitled to cancel the note and mortgage. 7. Seller agrees to hold the property in trust for buyer for the sum of (amount) plus any interest or principal in the note or mortgage if the note and mortgage are cancelled, and has the right to demand that the note and mortgage be paid from its proceeds. 8. Buyer agrees to pay to seller by (date) if (not previously agreed on) the purchase price, within ten (10) days after the close of the sale (if the sale was made by a public offering or sale). 9. If buyer is unable to pay the purchase price, he agrees if he defaults in the obligations of the purchase agreement by the sale or assignment of the notes or mortgage he will pay the proceeds of sale and any interest thereon within ten (10) days after the close of the sale, otherwise he will repay the purchase price within thirty (30) days of the end of the third month following the close of the sale, or if more than one month has elapsed he will pay within.
