-1- 6.03[1][b] Clauses Relating to Purpose of Venture Example 1 (partnership venture):Section 1.01. Purposes. The purpose of the Partnership shall be (i) to invest in, acquire, own hold, manage, operate, lease, sublease, sell, dispose of or otherwise deal with [certain identified assets], and (ii) to enter into any lawful transactions and engage in any lawful activities in furtherance of or incidental to the foregoing purposes. The Partnership shall not engage in any other activity except as set forth above. Example 2 (partnership venture): Section 1.01. Business of the Partnership. The Partnership is organized for the purpose of acquiring, investing in, operating, selling and otherwise dealing in and making investments in [a certain type of business] and for the purpose of engaging in all activities and transactions that are necessary or advisable in furtherance of that purpose (the "Business"). Notwithstanding anything to the contrary herein, without the unanimous approval of the Partnership's Managing Board, the Partnership shall not engage in any business other than the Business. Example 3 (limited liability company venture): Section 1.01. Purposes. The purposes of the LLC shall be (i) to engage in the business of acquiring, owning and operating [description of business], and (ii) to enter into any lawful transaction and engage in any lawful activities in furtherance of the foregoing purposes and as may be necessary, incidental or convenient to carry out the business of the LLC as contemplated by this Agreement.
