Assessment, Data, and Progress Monitoring

The Coach will conduct formative assessments, collect progress measures, and share written summaries. The School authorizes the Coach to access student performance records to the extent necessary for coaching services in compliance with applicable privacy obligations.

Confidentiality and Records

The Coach will treat all student and staff information as confidential and will maintain records in secure form. Records and data shall be used solely for instructional improvement and subject to applicable privacy laws. The Coach shall not disclose identifiable student information to third parties except with written consent or as permitted by law.

School consents to audio/video recording of coaching sessions for professional development and feedback, subject to confidentiality safeguards.
School authorizes the Coach to access and use de-identified or identified student data as required for service delivery.

Responsibilities of the Parties

Coach Responsibilities: The Coach shall provide services in a professional manner consistent with industry standards, prepare materials, deliver feedback, and provide written progress summaries as agreed. The Coach is responsible for maintaining professional licensure or certifications held and for carrying appropriate insurance if applicable.

School Responsibilities: The School shall provide access to classrooms, student data (as authorized), scheduling coordination, and reasonable workspace. The School shall designate a contact person to facilitate communication and implementation of recommendations.

Termination, Amendment, and Cancellation

This Agreement may be terminated by either Party upon written notice. Termination requires advance notice of days unless termination is for material breach. Upon termination, the Coach shall be entitled to payment for services performed through the termination date.

Indemnification; Insurance; Limitation of Liability

Each Party shall indemnify and hold harmless the other Party against liabilities arising from the indemnifying Party's negligence or willful misconduct. The Coach shall maintain professional liability insurance where commercially reasonable. Except for claims arising from gross negligence or willful misconduct, neither Party's liability shall exceed the total amount paid under this Agreement.

Compliance and Independent Contractor Status

The Coach performs services as an independent contractor and is not an employee of the School. The Coach is responsible for taxes, benefits, and statutory obligations arising from independent contractor status. Both Parties agree to comply with applicable laws and regulations in the performance of this Agreement.
