Independent Contractor & Background

Tutor is engaged as an independent contractor. Tutor is responsible for all taxes, insurance, and benefits related to compensation. Tutor represents that to the best of their knowledge they have no criminal convictions that would materially affect their ability to provide tutoring services and agrees to notify Client of any such matter that arises during the term of this Agreement.

Liability, Indemnification & Limitation

Client acknowledges that Tutor does not guarantee specific academic outcomes. Except for willful misconduct or gross negligence, Tutor's liability for claims arising under this Agreement is limited to amounts actually paid by Client to Tutor for the twelve (12) months preceding the claim. Client agrees to indemnify and hold Tutor harmless from claims arising out of Client's or Student's breach of this Agreement or misuse of instructional materials.

Termination

Either party may terminate this Agreement with written notice of days. Upon termination Client will pay all unpaid fees for services rendered through the date of termination and any non-refundable retainer amounts as set forth above.

Dispute Resolution & Governing Law

Parties agree to attempt resolution of disputes first through good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration or by a court of competent jurisdiction, as selected by the Tutor, under the laws of the state of .

Academic Integrity

Tutor will not complete assessments or examinations on behalf of the Student. Client and Student agree to use tutoring support for learning and not for fraud or academic dishonesty. Use of Tutor's materials in violation of educational institution rules is prohibited.
