11.09 Limited License for Creation of Archival Videotape [Performing Group] [address] RE: License for [show name] archival videotape Dear [Performing Group]:This letter, when signed by you below as an officer of [Performing Group] authorized to legally bind [Performing Group] and by us, the copyright holder(s) of the dramatico-musical work [Show Name] (the "Work") shall constitute our binding agreement in connection with your creation of a non-theatrical archival videotape of your live stage performance of the Work as follows: In full consideration of our granting to you of this limited, non-exclusive, non-assignable and non-transferable license to create one archival videotape copy of your live stage performance, you, encompassing [Performing Group] and its officers, trustees, employees and assigns, agree that such videotape will not be reproduced, broadcast or disseminated in any way, in whole or in part, including electronic transmission on the Internet, and agree to indemnify us against and hold us harmless from any claims and liabilities arising from your breach of this Agreement, including reasonable attorney's fees and disbursements. This Agreement shall be governed by and construed in accordance with the laws of the state of New York for contracts wholly to be performed therein, shall be binding upon and inure to the benefit of the parties hereto, their respective successors and assigns and shall not be modified except by a written instrument signed by both parties. Any violation of this Agreement will cause us immediate and irreparable harm which money damages cannot adequately remedy. Therefore, if in our view there exists any actual, threatened or impending violation of this Agreement, you agree that we shall be entitled to obtain from any court having jurisdiction a restraining order or preliminary and/or permanent injunction, without bond, restraining or enjoining such violation by you or by any entity or person acting in concert with you. You understand that such orders are additional to and do not limit the availability of any other remedy. You further agree that if it is determined by a court that you have breached the terms of this Agreement, we shall be entitled to recover from you all costs and reasonable attorneys' fees incurred by us as a result of our attempt to redress such breach or to enforce our rights and protect our legitimate interests.
