For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Term. The Term of this Agreement begins from the date of payment to the expiration date as stated above regardless of whether the member actually uses the benefits of membership. Except as expressly stated below, the membership fees are non-refundable but can be transferred to another person with the written permission of the manager. The manager has the right to cancel your membership at his or her discretion. 2. Right to Cancel. The member may cancel this Agreement within 3 business days from date of payment by providing written notification delivered in person or by certified mail to the Manager. Salon shall make all refunds within thirty (30) days of receipt of such cancellation notice. 3. Dues Increases. Salon reserves the right to increase membership dues at any time. If the Salon enter increases the membership dues, increases shall take effect at the time of the next renewal of this Agreement. A written renewal notice will be mailed to the member and the member may renew the membership or decline. Renewals will not be automatic . Member must provide written authorization for renewals except for month to month memberships. 4. Memberships. Month to month memberships will be billed the first day of each month and may be terminated at any time with 60 days written notice. Three month and prepaid one year memberships will be subject to the prevailing rate and a $____________ service charge if the membership is not renewed consecutively. 5. Payments. Member agrees to pay for the membership in full on the day of registration. Month to month memberships agree to pay for an initiation fee of $ ____________ and the monthly dues for that month. Subsequent payments will only include the monthly dues and be processed the first day of each month with either a credit or debit card. 6. Death/Disability of Member. If the member, because of death or disability, is unable to use any of the services of the Salon, the member or her estate shall be liable for only that portion of the membership charges allocable to the time prior to death or onset of disability. The Salon shall have the right to require and verify reasonable evidence of such death or disability. Medical leave may be granted with written documentation from a physician. The contract term will be extended proportionate to the leave granted. Vacation leave does not apply. 7. Contract Information for Member. The member is responsible for notifying the Salon of any changes in his or her home address, phone numbers, etc. 8. Membership Changes. Changes in membership type and dues (single, couple, family, etc.) shall be made at the time of renewal. The membership type purchased under this Agreement shall remain in effect until expiration. 9. Loss/Injury A. Salon is not responsible for lost, stolen, or damaged items inside or outside the facility. B. Member agrees to hold Salon harmless from any and all liability sustained by the Member for any loss, injury, or damage, inside or outside the facility, including payment of the fitness center’s reasonable attorney’s fees and costs to defend any such claimed loss. 10. Rules. A. Member must follow all rules and regulations of the Salon, including behavior and appearance. B. Members must sign in and show their membership card to the receptionist upon entering the Salon. 11. No Waiver The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement, or the waiver of any breach of any of the terms and conditions of this Agreement, shall not be construed as subsequently waiving any such terms and conditions, but the same shall continue and remain in full force and effect as if no such forbearance or waiver had occurred. 12. Governing Law This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _________________. 13. Notices Any notice provided for or concerning this Agreement shall be in writing and shall be deemed sufficiently given when personally delivered or sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 14. Attorney’s Fees In the event that any lawsuit is filed in relation to this Agreement, the unsuccessful party in the action shall pay to the successful party, in addition to all the sums that either party may be called on to pay, a reasonable sum for the successful party's attorney fees. 15. Mandatory Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect. 16. Entire Agreement This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement. 17. Modification of Agreement Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party. 18. Assignment of Rights The rights of each party under this Agreement are personal to that party and, other than allowed above, may not be assigned or transferred to any other person, firm, corporation, or other entity without the prior, express, and written consent of the other party.
