RATIFICATION OF MEMORANDUM OF OPERATING AGREEMENT AND FINANCING STATEMENT (FORM 2) STATE: COUNTY: EFFECTIVE DATE: (Date of Memorandum being Modified) The undersigned acknowledges receipt of an agreement entitled “Memorandum of Operating Agreement and Financing Statement” (the “Memorandum”). The Memorandum provides for liens and security interests in lands and leases (the “Contract Area”) and in tangible and intangible personal property related to the deve lopment of the Contract Area. The parties to the Memorandum agree that a person having an interest in the Contrac t Area can ratify the Memorandum by executing and delivering an instrument of ratification. The undersigned, who has an interest in the Contract Area, in consideration of the mutual covenants contained in the Memorandum, fully ratifies, adopts, and enters into the Memorandum. This Ratification shall be filed in the real property records of the County, and the UCC records of the State, where the Memorandum is filed, providing notice of the mutual liens and security interests now held by the parties to the Memorandum, including the undersigned.
