What a Non-Hire Employment Agreement Is and when organizations use it

A Non-Hire Employment Agreement is a private contract used to prevent one party from directly hiring or soliciting specified employees, contractors, or referred candidates of another party for a defined period. Common between employers, staffing firms, vendors, and clients, it identifies the parties, scope, restricted individuals or categories, duration, permitted exceptions, and remedies for breach. The agreement can be executed on paper or electronically provided it meets legal signature requirements; electronic execution should preserve signatory intent, attribution, and an auditable record to support enforceability under applicable state law and federal e-signature statutes.

Why organizations include a Non-Hire clause

A clear Non-Hire Employment Agreement protects recruitment investments, reduces employee poaching, clarifies post-engagement obligations, and sets predictable remedies for violations. It helps manage business relationships where third parties have access to recruiting pipelines or personnel.

Why organizations include a Non-Hire clause

Typical users and roles involved

Organizations and individuals who commonly prepare or sign this agreement include HR teams, staffing firms, outside vendors, and hiring managers.

  • Staffing agencies and recruiters — protect candidate pipelines and client relationships from direct-hire bypass.
  • Employers and hiring managers — preserve investments in sourcing and prevent loss of staff to partners.
  • Vendors and consultants — limit cross-hiring when working on-site or on shared projects.

Use appropriate signatory authority (company officer or authorized representative) and record the agreement in HR or contract repositories for compliance and auditability.

Core sections to include in a professional agreement

A complete Non-Hire Employment Agreement organizes obligations, scope, exceptions, term, enforcement, and administration so each party understands limits and remedies.

Parties

Identify the contracting entities, legal business names, and signing representatives; include company type and jurisdiction for clarity and service of process.

Scope

Describe which people are covered (named individuals, job categories, or referral lists), geographic limits, and whether existing employees are included or excluded.

Restriction Period

Set the duration (for example, 6–24 months) and whether it runs from contract termination, last contact, or last candidate referral.

Exceptions

List permitted hires (public job postings, unsolicited applicants, pre-existing relationships) and methods to document exceptions to avoid disputes.

Remedies

Specify remedies such as liquidated damages, hiring fees, injunctive relief, or recovery of recruitment costs and attorneys' fees, with calculation methods if applicable.

Confidentiality

Include confidentiality or non-solicit cross-references to protect candidate lists, recruiting methods, and any proprietary information exchanged during the relationship.

Step-by-step: filling and executing the agreement
