Materials, Equipment & Site Responsibilities

Cancellation, Termination & Rescheduling

Cancellation by Client requires days' prior written notice. If Client cancels within the notice period, Client shall remain liable for cancellation fees equal to of the Total Fee.

Provider may reschedule due to instructor illness, hazardous conditions, or force majeure; Provider will use reasonable efforts to provide replacement instructors or mutually acceptable alternative dates.

Liability & Indemnification

Each party agrees to indemnify, defend and hold harmless the other party and its officers, employees and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the negligence or willful misconduct of the indemnifying party in connection with the performance of this Agreement. Neither party shall be liable for incidental, consequential, special, or punitive damages except to the extent arising from gross negligence or willful misconduct.

Insurance

Provider shall maintain general liability insurance, professional liability (if applicable), and workers' compensation insurance in amounts commercially reasonable and customary for the services provided. Minimum limits for commercial general liability shall be $ per occurrence.

Confidentiality & Records

Each party shall treat as confidential all non-public information obtained in connection with this Agreement and shall not disclose such information except as required by law. Provider may maintain records of attendance and performance; such records shall be made available to Client upon request for legitimate educational administration purposes.

Intellectual Property

Provider retains all proprietary rights in training materials, curricula, and course content created prior to or independently of this Agreement. Provider grants Client a non-exclusive, non-transferable license to use provided materials solely for internal training of Client's participants. Client shall not reproduce, distribute, or publish Provider's materials for commercial purposes without prior written consent.

Compliance with Laws & Site Policies

Provider and Client shall comply with all applicable laws, regulations and site policies. Client is responsible for site-specific safety orientations and for ensuring participants meet any required background checks or clearance prior to participation.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to conflict of laws principles. Parties agree to attempt good faith negotiation prior to initiating arbitration or litigation.

Miscellaneous

Amendments to this Agreement must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in effect.
