What a Performer Employment Agreement Covers

Performer Employment Agreement is a written contract that sets terms between a production employer and an individual hired to perform (actor, musician, dancer, or other performer). It defines role, compensation, schedule, deliverables, intellectual property assignments, exclusivity, confidentiality, termination rights, and statutory obligations such as tax withholding and workers' compensation. Many productions tailor clauses for residuals, credits, and safety on set. Electronic execution is typically valid under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, but specific jurisdictional requirements and industry rules may affect enforceability.

Why a Written Agreement Matters

A clear Performer Employment Agreement allocates obligations, documents compensation and IP rights, and reduces disputes. Signed contracts support tax reporting, insurance claims, and enforcement of confidentiality, safety, and exclusivity provisions across production workflows.

Why a Written Agreement Matters

Who Typically Uses This Agreement

Use this agreement when a production engages an individual performer, a local contractor, or a talent agency to provide creative services.

  • Production companies and casting directors managing on-set talent and contracts.
  • Independent performers, including actors, musicians, dancers, and specialty contractors for hire.
  • Talent agencies, managers, and unions that oversee negotiated terms and deliverables.

Recordkeeping and signed copies should be retained by employer and talent representative for compliance and future proof of terms.

Core Elements to Include

A comprehensive Performer Employment Agreement should include purpose, rights allocation, payment details, schedules, confidentiality, and termination procedures to protect both parties and mitigate disputes.

Parties & Definitions

Clearly identify the employer, performer, and any agent or manager; define 'services', 'engagement', 'deliverables', 'effective date', and other terms to prevent ambiguity in enforcement or interpretation.

Term & Schedule

Specify start and end dates, rehearsal periods, performance windows, and renewal mechanics; include notice periods for scheduling changes and responsibilities during standby or call time to limit disputes.

Compensation

Detail base rates, overtime rules, bonuses, expense reimbursement, payment timing, tax withholdings, and whether payments are conditional on performance or subject to refund for breaches.

IP Rights

State ownership or transfer of recording, choreography, and promotional content; use clear assignment or license language and address moral rights and usage rights for distribution and advertising.

Confidentiality & Exclusivity

Define confidential information, nondisclosure obligations, permitted disclosures, duration of confidentiality, and any exclusivity that restricts outside engagements during and immediately after the term.

Termination & Remedies

Specify termination for convenience or cause, notice procedures, final accounting or severance, dispute resolution (arbitration or court), and remedies including injunctive relief for IP breaches.

Step-by-Step: Prepare and Execute the Agreement

Follow these steps to prepare, review, and execute a Performer Employment Agreement securely and in compliance with applicable laws.

Common Preparation Mistakes to Avoid

  • Using informal email agreement without clear terms or signatures leads to disputes about scope, payment, and intellectual property rights when performance issues arise.
  • Failing to state tax classification and collect TINs causes delayed payments, backup withholding, and potential IRS penalties for both payer and payee.
  • Omitting safety, travel, or rehearsal obligations can make producers liable for unexpected costs or scheduling conflicts that disrupt productions.
  • Relying on scanned signature images without an audit trail or consent to electronic records risks enforceability questions where statutory exceptions apply.
