Duties and Responsibilities

Trainee agrees to perform clinical duties only under the supervision and according to the scope defined by the Preceptor and the Clinical Site. Trainee responsibilities include maintaining professional conduct, timely attendance, participation in required training, and prompt reporting of incidents. The Trainee acknowledges that delegation of procedures will be consistent with the Trainee's documented competence and the Preceptor's professional judgment.

Supervision, Evaluation, and Assessment

The Preceptor will provide direct supervision, clinical instruction, and ongoing formative feedback. Formal evaluations will be conducted at intervals agreed by the parties and documented in writing. Failure to achieve competency expectations may result in suspension or termination of the placement.

Health, Safety, and Background Requirements

The Trainee certifies that required health clearances, immunizations, and background checks are current and will be provided to the Clinical Site upon request. The Preceptor and Clinical Site may require specific documentation as a condition of participation.

Insurance, Liability and Indemnification

The Trainee shall maintain personal health insurance and any specified professional liability coverage required by the Clinical Site or educational program. The Clinical Site shall maintain insurance covering its operations. The Trainee agrees to hold harmless and indemnify the Preceptor and Clinical Site from claims arising from the Trainee's breach of this Agreement or negligent acts while not under appropriate supervision. This indemnity does not extend to willful misconduct or gross negligence of the Preceptor or Clinical Site.

Confidentiality and Professional Conduct

The Trainee shall comply with all applicable patient privacy and confidentiality obligations while participating in clinical activities and shall not disclose protected information except as required by law or authorized clinical duties. The Trainee shall abide by the Clinical Site policies and applicable professional codes of conduct.

Termination and Remedies

Either party may terminate this Agreement for cause upon written notice specifying the reasons. Causes include but are not limited to breach of obligations, failure to maintain required clearances, unacceptable clinical performance, or conduct that endangers patients. Upon termination, the Trainee must immediately cease clinical activities at the Clinical Site and return any property belonging to the Site.

Miscellaneous Provisions

This Agreement constitutes the entire understanding between the Trainee and the Preceptor/Clinical Site concerning the preceptorship and supersedes prior discussions. Amendments must be in writing and signed by both parties. If any provision is unenforceable, remaining provisions remain in effect. Governing law is the law specified by the Clinical Site's jurisdiction.
