What the Premier Employee Agreement Is and When It Applies

The Premier Employee Agreement is a written contract that sets out the relationship between an employer and an employee, including job duties, compensation, term, confidentiality, and termination provisions. It can cover full-time, part-time, exempt and nonexempt roles and often includes post-employment restrictions such as noncompete or non-solicitation clauses. The document is used to establish expectations, allocate risk, and provide a record of agreed terms; while notarization is rarely required for basic employment contracts, signatures and clear effective dates are essential for enforceability.

Why a Clear Premier Employee Agreement Matters

A well-drafted agreement reduces dispute risk, clarifies compensation and benefits timing, and documents confidentiality and IP ownership to protect both parties under applicable state and federal law.

Why a Clear Premier Employee Agreement Matters

Who Typically Prepares and Signs These Agreements

Employers, HR teams, in-house counsel, and hiring managers commonly prepare the Premier Employee Agreement before onboarding new hires.

  • Hiring managers and HR teams who need consistent onboarding and payroll setup across locations.
  • In-house or retained counsel who review restrictive covenants, IP assignment, and arbitration clauses.
  • Executive candidates and senior hires where customized compensation and equity terms require negotiation.

External counsel may be involved for high-risk clauses; keep signed originals and a secure digital copy for compliance and audit.

Who Has Authority to Sign

Authorized Signer

Enter the individual authorized to bind the employer, typically a corporate officer, HR director, or delegated manager. The signer should have documented signing authority under company policy to ensure enforceability.

Employee Signer

The employee named in the agreement must sign and date. If the employee is entering on behalf of an entity, include the entity name and the signer's capacity to avoid ambiguity.

Core Components Found in a Professional Premier Employee Agreement

A complete agreement addresses the primary operational, financial, and legal elements that define the working relationship and reduce future disputes.

Parties

Identify full legal names of employer and employee, and specify hiring entity when a corporate group exists to avoid ambiguity about which entity bears obligations and liabilities.

Term and Start Date

State the effective date and, if applicable, fixed term or at-will status. Effective date determines accrual of benefits and triggers retention and statute of limitations periods.

Compensation

Detail salary, bonus structure, equity grants, pay schedule, and any conditional payments. Clarify payroll deductions, tax withholding, and whether payments are subject to clawback.

Duties & Location

Define role, title, reporting lines, required work location or remote work terms, and any mobility expectations that affect tax or employment law compliance.

Confidentiality & IP

Include confidentiality obligations, work-for-hire clauses, and IP assignment language to ensure employer ownership of work product created during employment.

Termination & Severance

Describe termination rights, notice periods, cause vs no-cause distinctions, and any severance or garden leave terms along with post-termination obligations.

Where to Send or File the Signed Agreement

Digital Signing and Distribution Options

Choose a platform that supports secure eSignatures, audit trails, and your required authentication level.

  • Authentication: Email, SMS, and advanced options

Ensure the chosen platform supports required compliance standards (ESIGN, UETA) and any industry-specific controls such as HIPAA BAA where needed.

Key Deadlines and Timing to Note

Track effective dates, onboarding deadlines, statutory form deadlines, and any notice periods that affect benefits or tax reporting.

I-9 Retention:

Retain I-9 for 3 years after hire or 1 year after termination, whichever is later (8 CFR §274a.2).

Benefits Enrollment:

Employee must enroll by employer-specified enrollment window; late enrollment often requires qualifying event.

W-2 Reporting:

Employers must provide W-2s to employees by Jan 31 for the prior calendar year (IRS requirement).

Start Date Effects:

Effective date controls PTO accrual, benefit eligibility, and probationary period calculations.

Notice Periods:

Observe any contractually agreed notice periods for termination to avoid breach claims.

Common Mistakes to Avoid When Preparing the Agreement

  • Using informal or inconsistent party names that do not match payroll or tax registrations, causing administrative and legal confusion.
  • Leaving effective dates or start dates blank or using ambiguous language that triggers disputes about when duties or benefits begin.
  • Failing to identify the correct signing authority for the employer, which can render the agreement unenforceable against the company.
  • Neglecting to align compensation language with payroll setup, resulting in mispayment, tax errors, or employee grievances.

Penalties and Risks from Errors or Omitted Terms

Tax Misreporting: Incorrect pay details
I-9 Violations: Civil fines up to $2,789
Enforceability: Overbroad covenants may be void
Breach Claims: Unclear termination terms
Privacy Breach: HIPAA penalties for PHI mishandling
Reputational Harm: Employee disputes publicized

Use Standard Templates
Maintain a single approved template per role to ensure consistency, minimize legal review time, and reduce the risk of divergent terms across hires.
Validate Fields
Enforce required fields and format checks (MM/DD/YYYY, full names) to prevent incomplete submissions and payroll setup errors.
Define Signatory Roles
Document who may sign on behalf of the employer and require evidence of delegation for non-standard signers to protect enforceability.
Preserve Audit Trail
Keep the audit log with timestamps, IP addresses, and authentication records to demonstrate intent and attribution if disputes arise.
