PROGRAM FACILITATOR AGREEMENT

Parties and Effective Date

This Program Facilitator Agreement ("Agreement") is entered into on between Program Provider: (Address: ) and Facilitator: (Address: ).

Recitals

Provider operates educational programs and desires to retain Facilitator to provide instructional and program facilitation services. Facilitator represents that they possess the qualifications, credentials, and experience necessary to perform the Services described in this Agreement and will comply with all Provider policies applicable to program personnel.

Term and Scope of Services

Facilitator shall provide the Services set forth below during the term beginning on and ending on unless earlier terminated in accordance with this Agreement.

Compensation and Expenses

Provider agrees to compensate Facilitator for Services in accordance with the terms below. Facilitator shall submit invoices itemizing dates, hours or sessions, and a description of Services performed.

Independent Contractor Status

Facilitator is retained as an independent contractor. Facilitator is responsible for all federal, state and local taxes, insurance, and other obligations arising from compensation paid under this Agreement. Nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, or partnership.

Representations, Background Checks, and Compliance

Facilitator represents and warrants that all information provided to Provider is true and complete. Facilitator shall complete any required background checks, fingerprinting, child abuse registry checks, and health screenings required by Provider prior to beginning Services and as requested during the Term. Facilitator shall immediately report to Provider any change in criminal history or any event that may affect Facilitator’s eligibility to work with minors.

Insurance and Liability

Facilitator shall, at their expense, maintain comprehensive general liability insurance with minimum limits of $1,000,000 per occurrence and professional liability/errors & omissions insurance with minimum limits of $1,000,000. Provider may require evidence of insurance prior to commencement of Services. Facilitator shall name Provider as an additional insured where requested and shall provide copies of policies or certificates upon request.

Confidentiality and Records

Facilitator agrees to maintain in confidence all student records and any Confidential Information of Provider. Confidential Information includes but is not limited to student personal data, assessment data, Provider curricula not publicly available, and business information. Facilitator shall comply with Provider’s policies and applicable law regarding student privacy and records access.

I acknowledge and agree to the Confidentiality obligations set forth in this Agreement.

Intellectual Property and Work Product

All original materials, curricula, lesson plans, assessments, and other deliverables developed by Facilitator specifically for Provider under this Agreement (collectively, "Work Product") shall be the exclusive property of Provider. Facilitator hereby assigns and transfers to Provider all right, title and interest in such Work Product, including all copyrights and moral rights to the extent assignable.

Indemnification and Hold Harmless

Facilitator shall indemnify, defend, and hold harmless Provider, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or resulting from Facilitator’s performance of the Services, breach of this Agreement, or negligent or willful acts or omissions, except to the extent caused by Provider’s gross negligence or willful misconduct.

Termination

This Agreement may be terminated by either party for convenience upon days’ written notice to the other party. Provider may terminate immediately for cause, including but not limited to any breach of this Agreement, material failure to perform, loss of required credentials, or violation of Provider policies relating to student safety.

Records, Reporting, and Deliverables

Policies, Code of Conduct and Mandatory Reporting

Facilitator shall comply with Provider’s student safety policies, code of conduct, and mandatory reporting obligations. Facilitator acknowledges duty to report any suspected abuse, neglect, or other incidents as required by applicable law and Provider policy.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice.

Miscellaneous

This Agreement constitutes the entire agreement between the parties concerning the Services and supersedes all prior agreements. Any amendment must be in writing signed by both parties. If any provision is held invalid, the remainder of the Agreement shall remain in force. This Agreement shall be governed by the laws applicable to Provider's operations.
