RECRUITMENT FEE AGREEMENT

This Recruitment Fee Agreement (the Agreement) is entered into effective as of (Effective Date) by and between the Company and the Recruiter identified below.

Parties

Engagement and Scope

The Company engages the Recruiter to identify, present and facilitate the placement of candidates for the position described below. Recruiter agrees to use reasonable efforts to present qualified candidates and to disclose to the Company any known conflicts of interest or relationships that could influence the placement. This Agreement governs placement fee entitlement, payment, replacement obligations and the parties' respective rights and obligations for all Candidate submissions made on or after the Effective Date.

Position and Candidate Details

Fee Schedule and Payment

The fee payable to Recruiter for a Placement (Fee) shall be:

Percentage of first year gross annual base salary
Flat fee

Payment shall be due within days of the Candidate's commencement of employment or acceptance of offer, whichever occurs first. Invoices from Recruiter shall itemize Candidate name, start date and agreed fee basis. All payments are due in cleared funds to Recruiter's nominated account.

Candidate Ownership and Exclusivity

Candidate submissions are deemed owned by the Recruiter for a period of months following the date of initial submission. If the Company engages a Candidate presented by Recruiter within that period, Recruiter shall be entitled to the Fee provided herein, regardless of whether any application, interview or engagement occurred through another source.

Replacement Guarantee

If a placed Candidate's employment terminates for any reason (other than a Company-initiated layoff or reduction in force) within days of the Candidate's start date, Recruiter shall use commercially reasonable efforts to present a suitable replacement at no additional charge or refund the Fee, at the Company's election. The guarantee is conditional on the Company having paid the Fee in full and having cooperated with Recruiter's reasonable requests regarding the circumstances of termination.

Warranties, Compliance and Confidentiality

Each party represents and warrants that it has the authority to enter this Agreement and that its performance will comply with all applicable employment, anti-discrimination, privacy and data protection laws. Recruiter warrants that all Candidate information provided to Company is accurate to the best of Recruiter's knowledge and that Recruiter has obtained Candidate consent for disclosure of personal information to the Company as required by law.

The parties shall keep confidential all non-public information concerning Candidates, compensation, business plans and other confidential information disclosed in connection with this Agreement, except where disclosure is required by law. Confidential information remains the property of the disclosing party and shall be returned or destroyed on request.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from liabilities, claims, losses or damages arising from its breach of this Agreement, negligence, willful misconduct or violations of applicable law. Except for indemnity obligations and willful misconduct, neither party shall be liable to the other for indirect, consequential or punitive damages.

Term, Termination and Survival

This Agreement shall continue until terminated by either party on written notice. Termination shall not affect Recruiter's entitlement to Fees for Candidates engaged prior to termination or for Candidates submitted within any agreed ownership period. Provisions that by their nature survive termination shall remain in effect.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the state specified below without regard to conflict of laws principles. The parties shall first attempt to resolve disputes through good faith negotiation; unresolved disputes shall be submitted to binding arbitration in the chosen jurisdiction unless otherwise mutually agreed in writing.

What a Recruitment Fee Agreement Covers

A Recruitment Fee Agreement is a written contract between a recruiter (individual or agency) and a hiring organization that sets the commercial and operational terms for candidate referrals or placements. It defines the fee structure (percentage of salary or flat fee), payment triggers and timing, refund or replacement obligations, candidate ownership and sourcing rules, exclusivity or retained-search status, confidentiality and data-handling expectations, notice and termination mechanics, and the governing law. The document reduces disputes by assigning responsibility for payment and clarifying which placements are chargeable.

Why a Clear Recruitment Fee Agreement Matters

A precise agreement protects both parties by documenting fee calculations, payment triggers, and replacement remedies. It limits disputes about candidate ownership, collection timing, and post-hire credits while setting the rules for confidential candidate data and compliance with privacy laws.

Why a Clear Recruitment Fee Agreement Matters

Who Typically Uses a Recruitment Fee Agreement

Employers, staffing agencies, internal talent teams, and independent recruiters commonly rely on this agreement to define placements and payments.

  • Staffing Agencies: Use formal agreements for contingency and retained searches to protect fee entitlement and candidate ownership rights.
  • In-House Talent Teams: Document arrangements with external recruiters and third-party sourcers to avoid duplicate-fee disputes.
  • Independent Recruiters: Establish clear payment terms and replacement obligations when submitting candidates to multiple clients.

Clear role definitions reduce billing disagreements, support compliant recordkeeping, and make enforcement simpler if a dispute arises.

Step-by-Step: Drafting and Signing the Recruitment Fee Agreement

Follow this sequential checklist to prepare, approve, and finalize the agreement with minimal rework.

  • 01
Draft Terms: Define fee, triggers, candidate ownership, and replacement remedies.
  • 02
Legal Review: Route to legal or procurement for compliance and jurisdiction checks.
  • 03
Signatures: Obtain authorized signatures from both recruiter and client.
  • 04
Recordkeeping: Store executed copy in contract repository for retention compliance.

Essential Clauses to Include in Every Recruitment Fee Agreement

A well-drafted agreement contains specific operational and legal clauses that prevent misunderstandings and enable enforceability if collection or ownership disputes arise.

Fee Definition

Precisely define fee basis (percentage or flat amount), salary components included in the calculation, and whether bonuses, commissions, or equity are counted for the initial fee.

Trigger Events

List the events that trigger payment, such as candidate start date, signed offer, or receipt of invoice, and tie payment timing to those events.

Replacement or Refund

Specify a replacement period, the remedy (credit, replacement candidate, or refund), and any prorated calculations if the candidate departs early.

Candidate Ownership

Describe how candidate introductions are documented, how long ownership lasts, and rules for candidates previously known by the client to avoid duplicate charges.

Confidentiality and Data

Include data handling and privacy obligations, especially if candidate health or background data is shared; reference HIPAA or other applicable regulations as required.

Governing Law

Identify the governing state law and dispute resolution method (mediation, arbitration, or courts) to reduce forum-shopping and clarify litigation expectations.

Key Information to Capture in the Agreement

Recruiter Details: Legal name, address
Client Details: Legal entity, address
Candidate Identifiers: Full name, role
Fee Terms: Percentage or flat
Payment Timing: Due date terms
Replacement Window: Days or months

Risks and Potential Consequences of an Incorrect Agreement

Unenforceable Fee: Poorly defined fees can be challenged in court
Duplicate Claims: Lack of candidate ownership rules leads to competing fee demands
Payment Delays: Unclear invoice requirements delay collections
Privacy Violations: Inadequate data clauses risk HIPAA or state privacy exposure
Statute Conflicts: Incorrect governing law selection increases litigation complexity
Damaged Relationships: Ambiguity can harm long-term client or recruiter trust

Common Drafting Mistakes to Avoid

  • Vague fee formulas that omit whether bonuses or equity are included can lead to costly disputes and differing interpretations.
  • Failing to document candidate introduction dates or prior contacts increases the risk of duplicate billing claims between agencies.
  • Using ambiguous replacement remedies like 'reasonable replacement' instead of explicit timeframes and credit calculations invites disagreement.
  • Not aligning payment triggers with objective events (signed offer, start date) can create inadvertent nonpayment or contested invoices.

How to Configure an Online Signing Workflow

Typical digital workflows speed signature capture while preserving audit logs and authentication steps required for enforceability.

Field Configuration
Template Name Recruitment Fee Agreement v1
Signers Order Recruiter then Client
Authentication Level Email + SMS code
Reminder Schedule 3 reminders over 14 days

Digital Signing and Authentication Options

Choose authentication methods to match the agreement's risk level and regulatory needs.

  • Basic: Email link and click-to-sign
  • Enhanced: SMS code or access code
  • High Assurance: Multi-factor or identity-proofing

Capture an audit trail with timestamps, IP addresses, and signer attribution to support ESIGN and UETA legal tests.

Where to Send and How to Route the Executed Agreement

Define distribution and filing points so contracts are discoverable and linked to payroll and finance for prompt payment processing.

  • Recruiter Copy: Send executed PDF to recruiter for invoicing and records.
  • Client Legal: Provide executed copy to client legal for contract file.
  • Finance/AR: Route invoice and signed agreement to accounts receivable.
  • Contract Repository: Store master copy in centralized contract system.

Who Can Sign the Agreement

Hiring Manager

A hiring manager may request services but usually lacks authority to bind the company on fee terms; signed approval by legal or authorized procurement is recommended to confirm enforceability.

Agency Owner

An agency owner or authorized officer must sign for the recruiter to bind the recruiting firm; include title and authority statement to avoid later signature disputes.

Example Scenarios Showing How Agreements Are Used

These examples demonstrate common structures and how clauses address real-world placement scenarios.

Contingency Placement

A recruiter submits candidates at no upfront cost and is paid only on hire.

  • Fee is 20% of first-year base salary.
  • The agreement defines candidate ownership, invoices due Net 30 from start date, and a 60-day replacement credit if the hire leaves prematurely.

Retained Search

Client engages recruiter with an upfront retainer for an exclusive search.

  • Fee is staged: retainer, midpoint, and successful placement.
  • The contract specifies exclusivity, refund mechanics if search is canceled, and a defined notice period for termination.

Practical Tips for Accurate and Efficient Completion

Adopt these practices to reduce errors, speed approvals, and make the agreement enforceable.

Document Candidate Introductions
Record the date and method of each candidate introduction and attach email threads or system logs to prove ownership and priority.
Use Objective Triggers
Link payment triggers to objective events such as signed offer letters or candidate start dates to reduce disputes.
Standardize Templates
Maintain a single approved template with version control to avoid conflicting clauses across clients and recruiters.
Align Finance and Legal
Ensure accounts receivable can match invoices to signed agreements and that legal has reviewed replacement and refund language.

Key Timeframes and Payment Deadlines to Specify

Include explicit timing to avoid late payments and to start replacement windows unambiguously.

Invoice Due Date:

Net 30 from candidate start date

Replacement Window:

60–180 days based on role seniority

Dispute Notice:

Client must notify recruiter within 30 days of invoicing

Interest on Late Payment:

Specify percent or statutory rate

Termination Notice:

30 days written notice standard
