Payment Terms

Payment is due in accordance with the terms below. Unless otherwise agreed in writing, Buyer shall pay the Total Amount Due in full by the Payment Due Date. Seller may suspend delivery or cancel outstanding obligations if Buyer fails to timely pay.

Delivery and Risk of Loss

Seller will use commercially reasonable efforts to meet the requested delivery date. Delivery dates are estimates only. Title and risk of loss pass to Buyer upon delivery to the carrier at Seller's shipping point unless otherwise expressly agreed in writing. Any special packing, export compliance or customs requirements shall be the responsibility of the party requiring same.

Warranty; Returns and Refunds

Seller warrants that goods delivered hereunder will conform to the specifications and be free from defects in material and workmanship for the warranty period stated below. Buyer's sole and exclusive remedy for breach of warranty shall be repair or replacement of nonconforming goods or, at Seller's option, refund of the purchase price for such goods, provided Buyer notifies Seller in writing within the warranty period and returns goods in accordance with Seller's return procedures.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for lost profits, loss of business, or other consequential, incidental, or indirect damages. Seller's aggregate liability arising out of or related to this acknowledgement shall not exceed the total amount paid by Buyer to Seller under this acknowledgement for the goods or services giving rise to the claim.

Governing Law and Dispute Resolution

This Sales Acknowledgement shall be governed by and construed in accordance with the laws of the jurisdiction set forth below without regard to conflict of laws principles. Any disputes arising out of or relating to this acknowledgement shall be resolved by binding arbitration or in the courts specified below as elected by Seller in its discretion.
