Fees, Payment and Invoicing

Buyer shall pay Seller the fees set forth above according to the following payment schedule: invoiced upon acceptance of candidate offer and payable within days of invoice receipt. Accepted payment methods: . Overdue amounts accrue interest at a rate of or the maximum allowed by law, whichever is lower.

Delivery / Start Date and Risk

Candidate anticipated start date: . Buyer is solely responsible for all employment offers, onboarding and compliance obligations. Risk of loss or liability relating to day-to-day employment, workplace safety and employee benefits passes to Buyer on the candidate's start date.

Placement Guarantee; Returns and Refunds

Seller warrants that, if the candidate's employment is terminated by Buyer for cause or resigns within the first days of employment, Seller will: at Seller's option, provide one replacement candidate at no additional placement fee or provide a pro rata refund of % of the placement fee. Guarantee applies only if Buyer: (i) notifies Seller in writing within days of termination, and (ii) has paid invoices in full. Replacement candidates are subject to Buyer's final approval.

Representations and Warranties

Seller represents that it has performed reasonable due diligence on candidates presented and has disclosed known material information regarding candidate qualifications and background. Buyer represents that it will comply with all applicable employment laws and will not rely on Seller for legal advice regarding hiring or classification of workers.

Confidentiality and Non-Solicitation

Both parties shall maintain in confidence proprietary information concerning candidates and each other's business. For a period of months following a candidate's start date, Buyer shall not solicit Seller's recruiting personnel assigned to this engagement. Breach of this clause entitles the injured party to equitable relief and damages.

Limitation of Liability

Except for claims arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total fees paid to Seller under this Agreement in the twelve (12) month period preceding the claim. Neither party shall be liable for consequential, incidental or punitive damages.

Termination

Either party may terminate this Agreement for material breach where the breach remains uncured for thirty (30) days after written notice. Termination does not relieve Buyer of obligation to pay for services rendered and candidates placed prior to termination.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Notice is effective on receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.
