Payment Terms

Payment is due in accordance with the terms below. Buyer shall pay the Total Amount Due by the due date. Failure to pay by the due date shall entitle Seller to assess the agreed late penalty and withhold further deliveries until payment is current.

        

Delivery & Shipping

Seller will use commercially reasonable efforts to deliver by the agreed date. Buyer acknowledges that delivery dates are estimates unless an express guaranteed delivery is set forth below. Title and risk of loss pass to Buyer upon delivery to the carrier unless otherwise agreed in writing.

Warranty & Quality

Seller warrants that delivered green beans and roasted coffee will conform to the agreed specifications for roast level and blend and will be free from defects in material and workmanship at the time of shipment. Buyer must notify Seller in writing of any nonconformity within the Warranty Period below. This warranty does not cover defects caused by improper storage, handling, brewing, or contamination after delivery.

Returns & Refunds

Returns require prior written authorization from Seller. Authorized returns must be shipped at Buyer’s expense unless Seller agrees otherwise. Refunds for returned product will be issued following inspection and acceptance by Seller and may be subject to a restocking fee as provided below.

Limitation of Liability

Except for liability resulting from gross negligence or willful misconduct, Seller’s total liability for any claim arising out of or related to this order shall not exceed the Total Amount Due for the items giving rise to the claim. In no event shall Seller be liable for incidental, special, punitive, or consequential damages, including lost profits.

Governing Law
