This Sales Contract Agreement (the "Agreement") is entered into as of (the "Effective Date") by and between the parties named above. Seller sells and Buyer purchases the goods and/or services described in this Agreement on the terms and conditions set forth below.

Warranty

Seller warrants that Products delivered under this Agreement shall conform to the specifications agreed between the parties and shall be free from material defects in materials and workmanship for a period of from the date of delivery. This warranty does not cover damage resulting from abuse, alteration, improper installation, or unauthorized repair.

Returns and Refunds

Returns will be accepted only with prior written authorization from Seller. If accepted, return shipping, restocking fees, and refund procedures will be governed by Seller's return policy as described below.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for indirect, incidental, special, punitive, or consequential damages, including lost profits. The aggregate liability of Seller for any claim arising out of or relating to this Agreement shall not exceed .

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims resulting from the indemnifying party's breach of this Agreement, negligence, or willful misconduct, subject to the indemnified party's compliance with reasonable notice and cooperation requirements.

Termination

This Agreement may be terminated by either party upon material breach by the other party if such breach remains uncured for days after written notice. Termination shall not relieve Buyer of payment obligations for Products delivered prior to termination.

Governing Law and Dispute Resolution
