Unless otherwise stated, title and risk of loss pass to Buyer upon delivery to the carrier at Seller's facility (FOB Seller). Seller shall pack and mark all shipments in accordance with commercial standards.

Warranty; Exclusions

Seller warrants that goods will conform to the specifications agreed herein and will be free from material defects in workmanship and materials for a period of from date of delivery.

This warranty does not cover damage due to misuse, modification, accident, normal wear and tear, or failure to follow Seller's instructions. Buyer's exclusive remedy for breach of warranty is repair or replacement of nonconforming goods, at Seller's option, or refund of the purchase price for such goods.

Return and Refund Policy

Returns require prior written authorization from Seller. Authorized returns must be shipped at Buyer's expense unless Seller determines the return is due to Seller's breach. Refunds will be issued following inspection and acceptance of returned goods by Seller in accordance with the warranty terms.

Limitation of Liability; Indemnification

Except for liability arising from Seller's gross negligence or willful misconduct, Seller's aggregate liability for any claim arising under this Contract shall not exceed the total amount actually paid by Buyer for the specific goods that give rise to the claim. In no event shall Seller be liable for consequential, incidental, special, or punitive damages.

Buyer shall indemnify, defend and hold Seller harmless from and against third-party claims arising from Buyer's misuse of products, modification of goods, or Buyer-supplied components, except to the extent caused by Seller's breach of this Contract.

Taxes; Compliance

Prices are exclusive of all taxes, duties and assessments. Buyer is responsible for all sales, use, value-added, and other taxes collected or assessed with respect to the sale, unless Buyer provides Seller with a valid exemption certificate prior to shipment.

Governing Law; Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. Parties agree to submit disputes to the exclusive jurisdiction of the state and federal courts located within that state.

Notices

Notices required under this Contract shall be in writing and delivered to the addresses provided above by hand, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be deemed given upon receipt.
