Inspection, Acceptance and Returns

Warranty

Seller warrants that for a period of from the date of delivery the Goods shall conform to applicable specifications and be free from defects in material and workmanship under normal use. This warranty does not extend to defects resulting from misuse, alteration, negligence, or improper installation by Buyer or third parties.

Limitation of Liability and Indemnification

Except for wilful misconduct or gross negligence, neither party's aggregate liability arising out of or in connection with this Contract shall exceed . In no event shall either party be liable for incidental, consequential, special or punitive damages.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, labor disputes, governmental actions, pandemics, or transportation interruptions, provided that the affected party gives prompt written notice and uses commercially reasonable efforts to resume performance.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential, and shall not disclose such information except as required by law or with prior written consent.

Termination

Either party may terminate this Contract for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Termination does not relieve Buyer of payment obligations for Goods delivered prior to termination.

Governing Law and Dispute Resolution

This Contract shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. Any dispute arising under this Contract shall be resolved by arbitration in accordance with commercially reasonable arbitration rules selected by the parties, unless the parties mutually agree otherwise in writing.

Miscellaneous

Entire Agreement: This Contract, together with any written purchase orders and exhibits expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements.
