What a Sales Customer Agreement Is and When It Applies

A Sales Customer Agreement is a written contract between a seller and a buyer that sets the specific terms for the sale of goods or services. It typically defines the parties, the goods or services provided, pricing and payment terms, delivery and acceptance criteria, warranties, returns, limitations of liability, confidentiality, and termination rights. In the United States these agreements can be executed on paper or electronically and are generally enforceable under the ESIGN Act (15 U.S.C. ch. 96) and state UETA laws when the parties demonstrate intent, consent, signer attribution, and durable record retention.

Why a Clear Sales Customer Agreement Matters

A clear agreement reduces disputes, sets payment and delivery expectations, preserves enforcement rights, and documents remedies. It also creates an auditable record that supports collections, regulatory compliance, and consistent customer experience when signed and retained correctly.

Why a Clear Sales Customer Agreement Matters

Who Typically Prepares and Signs These Agreements

Small businesses often use standardized templates; larger organizations add clauses and approvals before signature to manage risk.

  • Sales and account managers: Prepare scope, pricing, and commercial terms for customer acceptance.
  • Legal and contracts teams: Review indemnities, warranties, and governing law for risk mitigation.
  • Procurement and accounts payable: Approve payment terms and ensure compliance with internal purchasing rules.

Step-by-Step: Completing a Sales Customer Agreement

Follow this sequence to prepare, review, sign, and archive the agreement efficiently.

  • 01
Prepare document: Populate party details, scope, pricing, and deadlines.
  • 02
Internal review: Have legal or procurement review high-risk clauses and payment terms.
  • 03
Obtain signatures: Send for signatures by the authorized signers using chosen authentication.
  • 04
Store and distribute: Provide executed copies and retain an audit trail for records.

Key Clauses to Include in a Professional Sales Customer Agreement

These core clauses define obligations and protect both parties by clearly allocating risk, performance expectations, and remedies.

Scope of Work

Clear description of goods or services, deliverables, milestones, and any included or excluded work.

Payment and Fees

Price, invoicing schedule, accepted payment methods, late payment penalties, and taxes responsibility.

Delivery and Acceptance

Delivery terms, transfer of title, inspection period, and formal acceptance criteria or remedies for rejection.

Warranties and Limitations

Express warranties, warranty period, and limits on liability or consequential damages.

Confidentiality

Non-disclosure obligations, permitted disclosures, and duration of confidentiality commitments.

Termination and Remedies

Events permitting termination, cure periods, and post-termination obligations including return of property.

Security and Compliance Controls to Consider

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Authentication: Email, SMS code, or multi-factor options
Audit Trail: Timestamp, IP, and action history
HIPAA BAA: Available when handling PHI
Certifications: SOC 2 Type II, ISO 27001
Access Controls: Role-based permissions and logs

Key Risks and Consequences of Errors

Invalid signature: May render agreement unenforceable
Payment disputes: Risk of collections costs and delays
Tax exposure: Backup withholding or reporting issues
Notary omission: May limit record acceptance in some states
Data breach: Regulatory fines and reputational harm
Statute lapses: Shortened cure or claim windows

Common Preparation Errors to Watch For

  • Using ambiguous payment or delivery terms that leave acceptance criteria undefined and prolong dispute resolution.
  • Allowing unsigned or partially signed pages to circulate, creating uncertainty about party intent and contract completeness.
  • Assigning the wrong signatory authority by not verifying that the signer has corporate or delegated signing power.
  • Failing to include governing law and jurisdiction, which can complicate remedies and add litigation cost.

How Electronic Execution and eSubmission Typically Works

Electronic signing follows a predictable workflow that preserves intent, identity, and a tamper-evident record suitable for enforcement.

  • Upload: Sender uploads the agreement to the eSignature platform.
  • Place fields: Add signature, date, and initial fields for each signer.
  • Authenticate: Signer verifies identity via email, SMS, or stronger methods.
  • Complete: Signed document and audit trail are generated and distributed.

Practical Tips to Reduce Errors and Speed Execution

Adopt these practices to improve accuracy, reduce cycle time, and create enforceable records for sales transactions.

Define payment terms clearly
Specify amounts, due dates, late fees, and a single invoicing contact to avoid back-and-forth and to reduce disputes that delay collections and revenue recognition.
Specify delivery and acceptance
Include concrete acceptance tests, inspection windows, and remedies for nonconforming goods so all parties understand when title transfers and when invoices become due.
Confirm signer authority
Require title or role in the signature block and document delegated signing authority internally to prevent later claims that signers lacked power to bind the organization.
Maintain version control
Use a single controlled master, track edits, and require re-signature for substantive changes to prevent conflicting document copies and to preserve a clear audit trail.
