SALES CUSTOMER CONTRACT

This Sales Customer Contract ("Agreement") is entered into effective as of between the parties identified below.

Seller agrees to sell and Buyer agrees to purchase the goods and/or services described in Section "Products and Services" below in accordance with the terms and conditions set forth in this Agreement.

Payment Terms

Buyer shall pay the Total specified above in accordance with the terms below. Unless otherwise agreed in writing, Buyer shall make payment in full no later than following invoice date.

Late payments will accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus all reasonable collection costs and attorneys' fees incurred by Seller.

Delivery and Risk of Loss

Delivery shall be made on or about by the shipping method specified below. Seller shall use commercially reasonable efforts to meet the delivery date but shall not be liable for delays due to causes beyond Seller's reasonable control.

Risk of loss and title shall pass to Buyer upon delivery to the carrier unless otherwise agreed in writing. Buyer is responsible for insurance during transit where applicable.

Warranty

Seller warrants that for a period of from delivery, the goods supplied will conform to the agreed specifications and be free from material defects in material and workmanship under normal use.

Remedies under this warranty are limited, at Seller's option, to repair or replacement of defective goods or refund of the purchase price for such goods. This warranty does not cover damage resulting from misuse, improper installation, modification, or ordinary wear and tear.

Returns and Refunds

Limitation of Liability

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, exemplary, or punitive damages, including lost profits, arising out of or relating to this Agreement. Seller's aggregate liability arising out of or related to this Agreement shall not exceed the total amounts actually paid by Buyer to Seller under this Agreement for the specific goods or services giving rise to the claim.

Taxes, Duties and Compliance

Buyer is responsible for all taxes, duties, levies, and fees imposed by any governmental authority related to the sale, shipment, importation, or use of the goods, except taxes based on Seller's net income. Each party shall comply with all applicable laws, regulations, and export controls in performing its obligations under this Agreement.

Termination

Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and does not cure such breach within thirty (30) days after receipt of written notice. Termination shall not relieve Buyer of its obligation to pay for goods delivered or services performed prior to termination.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration or litigation as agreed below.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
