What a Sales Dealer Setup Agreement Is and When It Applies

A Sales Dealer Setup Agreement is a written contract that defines the relationship between a supplier (manufacturer or distributor) and an authorized dealer or reseller. It sets out the dealer's appointment, permitted territories and product lines, pricing and commission terms, reporting and audit rights, payment timing, and conditions for termination. Organizations use this agreement to standardize onboarding, ensure compliance with tax and regulatory requirements, and reduce disputes over commissions and territory. The document can be executed on paper or electronically when parties meet ESIGN and applicable state rules for e-signatures.

Why a Clear Dealer Setup Agreement Matters

A well-drafted Sales Dealer Setup Agreement reduces ambiguity about authority, payment obligations, and performance metrics, lowering the risk of disputes and unexpected costs.

Why a Clear Dealer Setup Agreement Matters

Who Typically Prepares and Signs This Agreement

The Sales Dealer Setup Agreement is completed and reviewed by teams that handle channel sales, finance, and legal compliance.

  • Manufacturer channel managers and distributor account teams responsible for contractual onboarding and territory assignments.
  • Dealer or reseller operations and finance contacts who provide banking, tax identification, and commission setup details.
  • Legal and compliance personnel who confirm governing law, audit rights, and any required regulatory disclosures.

Early involvement from sales operations and legal helps prevent onboarding delays and ensures accurate tax and reporting setup.
