SALES DISTRIBUTION AGREEMENT

This Sales Distribution Agreement (the "Agreement") is entered into effective as of between the parties identified below.

The Seller manufactures or supplies certain products listed in Schedule A (the "Products"). The Distributor desires to purchase and resell the Products in the Territory, and the Seller desires to appoint the Distributor to distribute the Products on the terms set forth in this Agreement.

Appointment: Seller hereby appoints Distributor as a non-exclusive/ exclusive distributor (select applicable) of the Products in the territory identified as for the Term set forth herein.

This Agreement shall commence on the Effective Date and continue for a period of years, unless earlier terminated in accordance with Section 12.

5. Products; Price Schedule; Orders

Seller will sell to Distributor, and Distributor will purchase from Seller, the Products listed in the Product Schedule below. Prices for Products are set forth in the unit price column and are subject to change upon thirty (30) days' prior written notice unless otherwise agreed.

Payment is due within days from invoice date. Accepted payment methods:

Late payments shall bear interest at % per month or the maximum rate permitted by law, whichever is lower. Distributor is responsible for all collection costs and reasonable attorneys' fees.

Title and risk of loss shall pass to Distributor at the point specified in the shipping terms above. If no shipping terms are specified, title passes at Seller's shipping facility.

Distributor shall inspect shipments within days of receipt. Notices of nonconformity or defect must be delivered in writing. Failure to timely notify constitutes acceptance.

9. Warranty; Remedies; Returns

Seller warrants that Products shall be free from material defects in materials and workmanship under normal use for a period of months from delivery. Seller's sole obligation is, at its option, repair or replacement of nonconforming Products or refund of the purchase price.

10. Limitation of Liability; Indemnity

Except for liability arising from willful misconduct or gross negligence, the aggregate liability of each party for any claim arising out of or relating to this Agreement shall not exceed . Seller retains all right, title and interest in its intellectual property, trademarks and trade names. Distributor is granted a limited, non-exclusive license to use Seller's trademarks solely for the promotion and resale of the Products in the Territory, subject to Seller's trademark usage guidelines.

Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure within days after receipt of written notice. Either party may terminate for insolvency, bankruptcy, or assignment for the benefit of creditors.

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, strikes, pandemics, governmental action, or natural disasters. The affected party shall provide prompt written notice and use commercially reasonable efforts to mitigate the effect of the event.

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, reorganization or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.
