What a Sales Executive Employment Agreement Covers

A Sales Executive Employment Agreement is a written contract that defines the legal relationship between an employer and a sales executive. It specifies duties, compensation (base salary, commissions, bonuses), territory and account ownership, performance targets, and the structure for commission calculations. The agreement typically includes confidentiality and intellectual property assignment provisions, non-solicitation or non-compete clauses where enforceable, term and termination mechanics, severance or notice obligations, and dispute resolution. Use this document to reduce ambiguity about pay, post‑employment restrictions, and ownership of client relationships.

Why a Clear Agreement Matters for Sales Roles

A precise Sales Executive Employment Agreement aligns incentives, documents commission formulas and payment timing, limits future disputes, and protects confidential information and customer lists. Clear terms reduce litigation risk and support consistent HR and payroll handling.

Why a Clear Agreement Matters for Sales Roles

Who Typically Prepares and Signs This Agreement

Typical stakeholders preparing and approving the agreement include HR, in‑house counsel, and the sales manager responsible for the role.

  • HR and Compensation Teams — Draft pay structure, bonus criteria, and administrative processes for payroll and benefits.
  • Legal Counsel and Outside Attorneys — Review restrictive covenants, IP assignment, and state law enforceability or bespoke clauses.
  • Hiring Managers / Sales Leadership — Define territories, quota rules, and customer ownership details to align expectations.

The signed parties are generally the employer (authorized representative) and the sales executive; additional signatories may include a corporate officer for public companies.

Representative Signatories

VP of Sales

An authorized officer who approves compensation plans, territories, and quota measures. They ensure the agreement aligns with broader sales strategy and sign on the employer’s behalf when delegated authority is granted.

Sales Executive

The incoming employee whose acceptance creates a binding employment relationship. They must sign to acknowledge compensation, commission formulas, restrictive covenants, and post‑employment obligations.

Common Preparation Pitfalls to Avoid

  • Using an overly broad non‑compete without tailoring to geography or duration, increasing risk of judicial invalidation.
  • Not addressing unpaid commissions on termination or change in employment status, leaving calculation and payment uncertain.
  • Failing to reconcile this agreement with previously signed offer letters or sales plan documents, causing conflicting obligations.

Practical Tips for Accurate Agreement Completion

Adopt consistent processes for drafting, review, execution, and storage to reduce disputes and improve enforceability.

Use precise compensation formulas
Write commission calculations with examples, define chargebacks and returns treatment, and clarify how partial payments affect vesting to avoid later payroll disputes and claims.
Tailor restrictive covenants
Limit non‑compete duration and geography to what the role reasonably requires; overbroad clauses risk being invalidated and expose the employer to litigation costs.
Coordinate with payroll
Ensure payroll understands timing for commission payments and integrates any clawback provisions into systems to preserve accounting accuracy and compliance.
Retain a complete audit trail
Keep executed PDF, signer audit data (IP, timestamps), and any consent disclosures to demonstrate compliance with ESIGN or relevant state law.
