Any dispute regarding KPI measurement must be raised in writing within ten (10) business days of a reported reconciliation; unresolved disputes shall be escalated to the parties' authorized representatives for resolution in accordance with the dispute resolution provisions below.

Warranty; Limitation of Liability; Governing Law

Seller warrants that all KPI-related reporting will be produced in good faith and in accordance with the measurement methods set forth herein. Except as expressly set forth in the underlying commercial agreement, neither party makes additional warranties with respect to incentive calculations. To the maximum extent permitted by law, each party's aggregate liability under or in connection with this KPI Setting shall be limited to direct damages not exceeding the total incentive payments actually made under this KPI Setting during the KPI period.

Confidentiality and Data Use

All KPI reports, calculations and supporting data exchanged under this KPI Setting are Confidential Information of the disclosing party. Each party shall use Confidential Information solely for the purposes of implementing and enforcing this KPI Setting and shall protect such information with at least the same care it uses to protect its own confidential information.

Review, Amendments and Integration

This KPI Setting may be amended only by a written instrument signed by authorized representatives of both parties. This KPI Setting constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes any prior oral or written communications relating to KPI targets and measurement, unless expressly incorporated into a separate agreement.
