SALES MANDATE AGREEMENT

Recitals and Effective Date

This Sales Mandate Agreement ("Agreement") is entered into effective as of (Effective Date) by and between Seller and Agent for the purpose of authorizing Agent to solicit orders for the sale of the products described below and to perform related sales activities on behalf of Seller under the terms herein.

Appointment and Scope

1. Appointment: Seller appoints Agent as its exclusive non-exclusive sales agent to solicit orders and promote the sale of the Authorized Products within the territory defined below. Agent accepts the appointment and agrees to use commercially reasonable efforts to identify and solicit potential Buyers.

Payment, Commissions and Invoicing

a) Payment Terms: Buyer payments collected by Seller or Agent shall be due within days of invoice. Accepted payment methods: Wire Transfer Credit Card Check

b) Commission: Seller shall pay Agent a commission equal to % of Net Sales (Net Sales means gross invoiced sales less returns, discounts, taxes and freight). Commissions are payable within days after receipt of cleared funds by Seller unless otherwise agreed in writing.

c) Commission Basis: Commissions are payable on amounts actually collected by Seller. If Seller pays refunds, credits, or adjustments after commission payment, Agent shall repay the portion of commission attributable to such adjustments upon demand or Seller may offset against future commissions.

Delivery, Title and Risk of Loss

Delivery terms shall be unless otherwise agreed in writing. Title and risk of loss pass to Buyer in accordance with the selected delivery term. Seller shall use commercially reasonable means to deliver products on or before the delivery date specified in accepted orders.

Warranty; Returns; Refunds

Seller warrants that products sold under this Agreement shall conform to Seller's published specifications and be free from material defects in material and workmanship for a period of from delivery. Remedies under this warranty are limited to repair or replacement at Seller's option. Exclusions: damage from misuse, unauthorized modification, or improper installation.

Representations, Confidentiality and IP

a) Representations: Each party represents that it has full power and authority to enter into this Agreement and perform its obligations. Seller represents that it has good title to the products and the right to grant sales authority to Agent.

b) Confidentiality: Agent shall keep confidential all non-public Seller information disclosed or accessed in connection with the Agreement, including pricing, customer lists, and technical data, and shall use such information solely for performance of its obligations. This obligation survives termination for two (2) years.

c) Intellectual Property: Seller retains all right, title and interest in trademarks, trade names, patents and other intellectual property. Agent may not use Seller's trademarks except as expressly authorized in writing.

Limitation of Liability and Indemnification

a) Limitation: Except for willful misconduct or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, punitive or special damages, including lost profits. The aggregate liability of either party shall not exceed the total amounts paid or payable to Agent under this Agreement in the twelve (12) months preceding the claim.

b) Indemnification: Each party shall indemnify, defend and hold the other harmless from and against claims, damages and liabilities arising from its breach of representations, negligent acts, or willful misconduct. Seller shall indemnify for product liability claims to the extent caused by product defects; Agent shall indemnify for claims arising from Agent's negligence or unauthorized representations.

Insurance and Compliance

Seller shall maintain product liability insurance and commercial general liability insurance in amounts customary for the industry. Agent shall maintain professional liability or errors & omissions insurance as applicable. Both parties shall comply with applicable laws and export controls.

Term, Termination and Effects

a) Term: This Agreement commences on the Effective Date and continues for a period of unless earlier terminated in accordance with this Agreement. Thereafter it will renew automatically for successive periods unless either party gives written notice of non-renewal days prior to expiration.

b) Termination: Either party may terminate for material breach not cured within days after written notice, or immediately for insolvency or bankruptcy of the other party.

c) Effect of Termination: Upon termination, Seller will pay commissions on orders accepted prior to termination and paid within the period specified for commissions. Agent shall promptly return confidential materials and cease use of Seller marks.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below by certified mail, courier, or email with confirmation. Notices are effective upon receipt.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties will attempt in good faith to resolve disputes by negotiation. If unresolved within 30 days, disputes shall be finally resolved by arbitration in the designated forum agreed by the parties.

Miscellaneous

a) Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or agency relationship for other purposes.

b) Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Seller may assign to an affiliate or purchaser of substantially all its assets.
