Each Party shall keep confidential all non-public information disclosed by the other Party and shall not use such information except to perform under this Agreement. Company retains all intellectual property rights in and to the Products, trademarks, trade names and marketing materials. Partner acknowledges such rights and will not contest them.

Indemnification; Insurance; Limitation of Liability

Each Party (the "Indemnifying Party") shall indemnify and hold harmless the other Party against claims, liabilities and expenses arising from the Indemnifying Party's breach of this Agreement, negligence, or willful misconduct. Company shall maintain product liability insurance in amounts customary in the industry; Partner shall maintain commercial general liability coverage. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR EXEMPLARY DAMAGES, AND BOTH PARTIES' AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Each Party shall comply with all applicable laws, regulations and trade control laws. Partner shall not export products or technical information in violation of applicable export control laws and shall promptly notify Company of any restricted-country sales.

Term; Termination

The term of this Agreement commences on the Effective Date and continues for , unless earlier terminated for material breach, insolvency, or upon days' prior written notice. Termination shall not affect obligations accrued prior to termination, including payment of commissions on orders accepted prior to termination as provided herein.
