Whereas Seller develops and provides products and services as described below and Buyer desires to participate in Seller's sales program under the terms set forth herein; now, therefore, in consideration of the mutual promises contained herein, the parties agree as follows.

Late payments shall incur interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs. Payments are due in United States dollars unless otherwise agreed in writing.

Unless otherwise agreed in writing, risk of loss passes to Buyer upon delivery to the carrier. Seller shall use commercially reasonable packaging and handling procedures.

Warranty

Seller warrants that products delivered under this Agreement shall conform to the specifications set forth in this Agreement and be free from material defects in materials and workmanship for a period of from delivery. Remedies for breach of warranty shall be limited to repair or replacement of nonconforming products at Seller's option, or refund of the purchase price for such products.

This warranty does not apply to damage resulting from misuse, alteration, improper installation, normal wear and tear, or unauthorized repair. No other warranty, express or implied, is made by Seller.

Returns, Refunds & Credits

Buyer must notify Seller in writing of any claim for shortage, nonconformity, or damage within days of receipt. Authorized returns require a return authorization. Restocking fees and shipping costs may apply as provided in the return authorization. Credits or refunds will be issued following Seller's inspection and confirmation of the claim.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, in no event shall either party be liable to the other for indirect, incidental, consequential, special, or punitive damages, including lost profits, even if advised of the possibility of such damages. The aggregate liability of either party for claims arising out of this Agreement shall not exceed the fees actually paid by Buyer to Seller under the applicable order giving rise to the claim.

Confidentiality

Each party shall keep confidential all proprietary or non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations hereunder. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Term, Termination & Survival

This Agreement commences on the effective date and continues until all obligations are satisfied or until terminated by either party for material breach if the breach is not cured within thirty (30) days after written notice. Provisions that by their nature should survive termination shall survive, including but not limited to payment obligations, confidentiality, warranty limitation, and governing law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law provisions.

Miscellaneous

No amendment to this Agreement is effective unless in writing and signed by authorized representatives of both parties. Notices must be given in writing to the billing address set forth above or such other address as either party designates in writing.
