Warranties and Limitations

Seller warrants that services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards for a period of following acceptance. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Refunds, Returns, and Credits

Because services are delivered by performance, refunds are available only where Seller has materially failed to perform and has been unable to cure within thirty (30) days after notice. Any credit or refund shall be Seller's sole and exclusive obligation in the event of a breach of the foregoing warranty.

Each party shall treat the other party's confidential information as confidential and shall not disclose it except to employees or contractors who have a need to know and are bound by confidentiality obligations. This obligation shall survive termination of this proposal.

Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF SELLER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS PROPOSAL SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SELLER UNDER THIS PROPOSAL.
