What a Sales Recruiting Agreement Is and Covers

Sales Recruiting Agreement is a written contract between a hiring company and a recruitment firm that sets terms for sourcing, evaluating, and placing sales personnel. It defines the scope of the search, fee structure (retainer, contingency, or hybrid), payment triggers, candidate ownership, exclusivity, and a placement guarantee period. The agreement also addresses confidentiality, non-solicitation, background checks, and compliance with employment and discrimination laws. Clear definitions and measurable deliverables reduce disputes and set expectations for timelines, onboarding, and post-placement obligations. It is legally binding.

Why a Sales Recruiting Agreement Matters

A Sales Recruiting Agreement protects both parties by documenting responsibilities, fee terms, candidate ownership, and a placement guarantee. It reduces ambiguity, speeds hiring cycles, and limits disputes. When executed electronically, ESIGN and UETA support enforceability provided intent, consent, attribution, and retention requirements are met.

Why a Sales Recruiting Agreement Matters

Who Drafts, Uses, and Signs This Agreement

Hiring managers, HR teams, external recruiting firms, and legal counsel commonly use a Sales Recruiting Agreement to formalize placement terms and fees.

  • In-house recruiters and HR: manage requisitions, approvals, and onboarding coordination for placed sales hires.
  • Recruiting agencies and headhunters: set search scope, candidate screening, and fee arrangements.
  • Hiring executives: approve hiring budgets, negotiate guarantees, and confirm final candidate selection.

Use the agreement to allocate risk, define candidate ownership, and record payment triggers so each party understands obligations and remedies.

How to Complete a Sales Recruiting Agreement

Follow these steps to complete a Sales Recruiting Agreement accurately and reduce delays in candidate placement and payment.

  • 01
Prepare Scope: Identify role, target markets, compensation, and required qualifications.

  • 03

  • 04

Essential Clauses to Include

Core clauses in a Sales Recruiting Agreement set responsibilities, financial terms, candidate ownership, confidentiality, compliance, and remedies to manage placement outcomes and disputes.

Scope of Services

Describe search activities, deliverables, timelines, and whether the firm will provide sourcing, screening, interviewing, reference checks, and onboarding assistance. Be explicit about exclusions to avoid scope creep.

Compensation

Document fee type, calculation basis (first-year salary or flat fee), invoicing schedule, payment methods, and late fee or collection provisions to ensure prompt settlement and clear remedy steps.

Candidate Ownership

Specify when a candidate becomes the client’s property for fee purposes, the look-back period for prior submissions, and how joint submissions are resolved, including written evidence requirements.

Guarantee & Replacement

Set the guarantee duration, whether replacement is free or discounted, and processes for claiming a replacement or refund including timelines and candidate eligibility exceptions.

Confidentiality

Protect proprietary hiring materials, candidate data, and client business information. Include data handling, permitted disclosures, duration of confidentiality obligations, plus security measures for electronic records.

Compliance

Require lawful hiring practices, background and eligibility checks under applicable federal and state law, and adherence to discrimination, wage, and immigration requirements including I-9 retention where applicable.
