IN NO EVENT SHALL SELLER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS RENEWAL ORDER EXCEED THE TOTAL AMOUNTS PAID BY BUYER UNDER THIS RENEWAL ORDER DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES.

TERMINATION

This Renewal Order may be terminated for material breach if the breaching party fails to cure such breach within thirty (30) days after written notice. Buyer remains responsible for payment for all goods delivered and services performed prior to termination.

GOVERNING LAW & DISPUTE RESOLUTION

This Renewal Order shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.
