What a Sales Rep Internship Agreement Covers

A Sales Rep Internship Agreement is a short-term written contract that sets expectations for a trainee performing sales-related tasks. It defines the parties, term, duties, supervision, training objectives, compensation or stipend, commission eligibility (if any), confidentiality and intellectual property assignment, termination rights, and reporting requirements. The agreement clarifies whether the intern is unpaid, paid a stipend, or eligible for commissions, and it flags regulatory issues such as FLSA classification, tax reporting, and any industry-specific privacy obligations. The agreement may be executed electronically under the ESIGN Act (15 U.S.C. §7001) or state UETA rules where applicable.

Why formalizing the internship benefits both parties

A written Sales Rep Internship Agreement reduces misunderstandings about duties, compensation, performance metrics, and intellectual property, and it supports consistent onboarding and compliance with employment and tax rules.

Why formalizing the internship benefits both parties

Who prepares and who signs this agreement

Typical users include hiring managers, HR professionals, and prospective interns who need clear terms before work begins.

  • Hiring manager or sales director responsible for role definition and supervision
  • Human resources or talent acquisition for policy, classification, and payroll setup
  • Intern or student entering the program who must consent to terms

Use the agreement as part of onboarding to document expectations and preserve evidence of consent and acceptance.

Key signatory profiles

Hiring Manager

The hiring manager defines sales targets, supervision structure, territory, and training responsibilities. Their signature commits the organization to provide coaching and performance feedback during the internship period.

Intern Candidate

The intern accepts duties, confidentiality obligations, and any compensation terms. Signing documents establishes consent to electronic records where allowed and confirms acknowledgment of company policies.

Essential information to collect in the agreement

Full Legal Name: Exactly as on government ID
Company Name: Legal entity providing the internship
Role Description: Brief duties and responsibilities
Compensation Terms: Stipend, commission, or unpaid status
Effective Dates: Start and end dates
Signature Block: Signature, printed name and date

Legal and operational risks of a deficient agreement

Misclassification: FLSA penalties and back pay
Unpaid Wage Claims: DOL audits and damages
Tax Withholding Errors: Backup withholding triggers
IP Disputes: Ownership ambiguity for sales materials
Confidentiality Breaches: Customer data exposure
Invalid Signature: Enforceability problems without consent

Common mistakes to avoid when preparing the agreement

  • Omitting clear compensation language or commission calculation methods, which leads to disputes when sales are credited.
  • Failing to state supervision and training expectations, leaving performance measures undefined for the intern and manager.
  • Using ambiguous IP or confidentiality clauses that do not assign rights to work product or protect customer lists.
  • Not verifying whether the role qualifies as an unpaid internship under FLSA guidance, risking wage claims and penalties.

Realistic use cases for a Sales Rep Internship Agreement

Two short examples show how organizations adapt the agreement for different programs and goals.

Brokerage Sales Internship

A regional real estate brokerage runs a 10-week sales internship for lead generation and open-house support

  • Intern tracks leads and attends client showings under supervision
  • The agreement specifies commission eligibility tied to closed deals, confidentiality of client information, and required broker oversight to meet state broker regulations.

SaaS Lead Development Internship

A software company hires students to qualify inbound leads and schedule demos

  • Interns use CRM to log activity and are paid a weekly stipend
  • The contract assigns IP in lead lists to the company, sets CRM access rules, and clarifies that commissions apply only to revenue attributable to intern-sourced opportunities.

Step-by-step: completing the agreement

Follow these four steps to create, review, and finalize a Sales Rep Internship Agreement with clarity and legal compliance.

  • 01
Draft core terms: Enter parties, role, dates, compensation, and IP clauses

  • 03

  • 04

Typical routing after the agreement is signed

After execution, route copies to stakeholders and integrate terms into onboarding and payroll systems.

  • HR Records: Store final agreement in personnel file
  • Payroll/Finance: Set up stipend or commission tracking
  • Hiring Manager: Receive signed copy for supervision
  • Legal Counsel: Archive for policy and dispute prevention
