Representative Duties and Restrictions

Representative shall use commercially reasonable efforts to solicit orders for the Products within the Territory, maintain complete and accurate records of all leads and orders, comply with applicable laws, and submit reports as requested by Seller. Representative acts as an independent contractor and not as an employee, partner or agent with authority to bind Seller except as expressly authorized in writing.

Compensation Adjustments and Chargebacks

Seller will provide a written accounting of any chargebacks and will withhold future commission payments to offset the chargeback amounts.

Term, Termination and Effect of Termination

Term: This Agreement shall commence on the Program Effective Date and continue for a period of months, and thereafter renew automatically for successive periods unless terminated in accordance with this Agreement.

Termination: Either party may terminate this Agreement without cause upon days' prior written notice. Seller may terminate immediately for cause, including breach, insolvency, or misrepresentation by Representative.

Effect of Termination: Upon termination, Representative shall cease representing itself as a representative of Seller, shall return Seller property, and shall be entitled only to commissions earned on orders invoiced and paid prior to the effective date of termination, subject to applicable chargeback deductions.

Confidentiality, IP, Indemnity and Liability

Confidentiality: Representative shall keep confidential all non-public technical, financial, and customer information disclosed by Seller and shall use such information solely for performance under this Agreement.

What the Sales Representative Program Covers

The Sales Representative Program is a written agreement that defines the relationship between a company and individuals or firms authorized to market, sell, or solicit orders on the company's behalf. It typically covers appointment, geographic territory, commission structure, performance expectations, reporting requirements, duration, termination rights, confidentiality, noncompete and intellectual property allocation, and compliance obligations. Employers use this program to standardize onboarding, ensure consistent compensation and legal protections, and clarify responsibilities for both parties when selling goods or services in the United States.

Why a Formal Program Matters

A Sales Representative Program clarifies compensation, responsibilities, and termination rules, reducing disputes and compliance risk while supporting consistent revenue recognition and internal controls across distributed seller networks.

Why a Formal Program Matters

Who Prepares and Uses These Agreements

Primary users include sales managers, HR, legal counsel, and finance teams responsible for onboarding and compensation.

  • Sales managers who assign territories, set quotas, and monitor representative performance across accounts.
  • Independent representatives or agencies requiring clear commission terms and payment schedules to avoid disputes.
  • Legal and compliance teams reviewing noncompete, confidentiality, and regulatory enforcement provisions.

Clear role definitions improve coordination and reduce administrative overhead during recruitment, audits, and contract renewals.

Core Elements Every Program Should Contain

Core elements that make a Sales Representative Program actionable include clear compensation terms, territory definitions, compliance language, and technical requirements for execution and recordkeeping.

Appointment

Specify the scope of appointment, whether exclusive or nonexclusive, start and end dates, and any performance milestones required to maintain status. Include successor assignment rules.

Compensation

Detail commission rates, thresholds, accelerators, payment schedule, refund/return adjustments, and handling of expenses. Clarify gross versus net definitions and reporting cadence.

Territory

Define geographic boundaries, customer lists, vertical markets, and procedures for resolving conflicts when accounts overlap or change due to acquisitions.

Reporting

Set regular reporting intervals, required data fields, responsibility for record accuracy, and consequences for misreporting or late submissions.

Compliance

Include required licenses, privacy obligations, export controls, anti-corruption clauses, and references to consumer disclosures where applicable (ESIGN consent requirements).

Termination

Describe notice periods, cause and convenience termination effects on commissions, post-termination obligations, and survival clauses for confidentiality and IP.

Step-by-Step: Prepare and Execute the Agreement

Follow these sequential steps to prepare, execute, and store a Sales Representative Program correctly and securely.

  • 01
Gather Information: Collect parties' legal names, TINs, addresses, and commission details.
  • 02
Draft Terms: Define scope, territory, commissions, reporting, and termination.
  • 03
Review & Approve: Legal and finance must review for compliance and tax accuracy.
  • 04
Execute & File: Sign electronically, notarize if required, and store per retention policy.

Typical eSignature Workflow for the Program

Standard e-signing workflows streamline signature capture, authentication, and audit trail collection for Sales Representative Program documents.

  • Upload Document: Import final agreement PDF or DOCX.
  • Place Fields: Add signature, date, and commission-related fields.
  • Authenticate Signer: Use email, SMS, or stronger methods for verification.
  • Complete Audit Trail: Record IP, timestamp, and action history for enforceability.

Configure Automated Workflows

Configure workflow settings to automate routing, notifications, and signer authentication for high-volume Sales Representative Program processing.

Field Configuration
Routing Order Define signer sequence and conditional paths.
Authentication Email link, SMS code, KBA, or SSO.
Reminders Set automatic reminders cadence and escalation.
Storage Save completed PDFs to cloud storage and archive.

Platform and Integration Considerations

Confirm supported file types, signer authentication options, and integrations before e-submitting the Sales Representative Program.

  • File Types: PDF, DOCX, HTML accepted
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Auth Methods: Email, SMS, SSO, KBA options

Security and Compliance Checklist

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest.
Certifications: ISO 27001, SOC 2 Type II, PCI DSS.
HIPAA BAA: Business Associate Agreement available upon request.
21 CFR Part 11: Compliant controls for electronic records/signatures.
Audit Trails: Detailed timestamps, IP addresses, and action logs.
Accessibility: WCAG 2.0 Level AA compliance.

Penalties and Common Legal Risks

Incorrect TIN: Triggers backup withholding at 24%.
Late 1099 Filing: Penalties $60–$330 per form.
Intentional Disregard: Penalties $660+ per form.
I-9 Violations: $281–$2,789 per violation.
Breach of Contract: Damages, injunctions, legal costs.
HIPAA Violations: Six-year recordkeeping and penalties.

Frequent Preparation Errors to Avoid

  • Failing to define commission triggers, prorations, or chargeback policies causes disputes and delayed payments; specify exact calculations and examples.
  • Vague geographic or account ownership language leads to overlap, poaching claims, and inconsistent sales attribution; map accounts clearly.
  • Not specifying classification (employee vs independent contractor) and TIN obligations can create withholding errors and IRS scrutiny.
  • Omitting privacy, export control, or industry-specific mandates (HIPAA, PCI) exposes the company to fines and contract unenforceability.

Practical Examples of Program Use

Real-world scenarios illustrate how Sales Representative Programs operate across organizations of different size and sector.

Mid-market Distributor

A mid-market distributor standardized representative contracts to align commissions, territories, and reporting across 120 sales agents.

  • They introduced monthly electronic reporting and explicit chargeback rules.
  • The change reduced reconciliation time, lowered payment errors, and produced auditable records that simplified year-end 1099 preparation, internal compliance reviews, and executive reporting, enabling clearer budgeting and fewer disputes.

Regional Healthcare Provider

A regional healthcare provider engaged independent reps for clinical supplies and needed HIPAA-aware processes.

  • They required BAAs and secure e-signing workflows.
  • By adding HIPAA clauses, BAAs, and stronger authentication, the provider avoided PHI exposure, ensured compliance with 45 CFR §164.530(j), and maintained six-year retention for related agreements while streamlining signature collection across clinics.
