This Sales Reseller Contract (the "Agreement") is made effective as of between:

Late payment shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law, and Reseller shall be responsible for reasonable collection costs.

Warranty; Returns; Refunds

Seller warrants that at the time of shipment Products will substantially conform to Seller's specifications and be free from defects in materials and workmanship for a period of from the date of shipment.

Warranty exclusions include defects resulting from misuse, unauthorized modification, improper installation, or normal wear and tear. Reseller's exclusive remedy for breach of warranty is repair, replacement, or refund at Seller's discretion.

Intellectual Property; Use of Trademarks

Seller retains all intellectual property rights in the Products, marks, and documentation. Seller grants Reseller a limited, non-exclusive, non-transferable license to use Seller's trademarks and marketing materials solely to promote and resell the Products in the Territory in accordance with Seller's trademark usage guidelines.

Confidentiality

Each party shall maintain in confidence all confidential information disclosed by the other party and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information that is or becomes publicly available without breach of this obligation.

Compliance; Export Controls

Each party shall comply with all applicable laws, rules, and regulations. Reseller shall not export, re-export, or transfer Products except in compliance with applicable export control laws and shall obtain all required governmental authorizations.

Indemnification; Limitation of Liability

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising from its breach of this Agreement, negligence, or willful misconduct. Seller's aggregate liability for damages arising under this Agreement shall not exceed the amounts actually paid by Reseller to Seller under this Agreement in the twelve (12) months preceding the claim. In no event shall either party be liable for special, incidental, consequential, or punitive damages.

Insurance; Audit Rights

Reseller shall maintain commercial general liability insurance and, if applicable, product liability insurance in customary amounts. Seller reserves the right to audit Reseller's records relating to sales of Products to verify compliance with this Agreement upon reasonable notice.

Term; Termination

The initial term of this Agreement shall be and shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term. Either party may terminate this Agreement for material breach if the breach remains uncured for thirty (30) days after written notice.

Records; Reporting

Reseller shall maintain complete and accurate records of sales, inventory, and customer contacts related to the Products for a period of three (3) years and shall provide quarterly sales reports to Seller in the format reasonably requested by Seller.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above (or such other address as either party may designate by written notice).

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to conflict of laws principles. The parties agree to attempt to resolve disputes through good faith negotiation prior to commencing litigation.

Miscellaneous

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to its subject matter. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets.
