Warranty

Returns and Refunds

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party and to use such information solely for performance under this Agreement. Confidential information does not include information that is or becomes publicly available other than through breach of this Agreement.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY BUYER TO SELLER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, labor disputes, governmental actions, or supply chain interruptions. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses below or such other address designated by a party in writing, and shall be deemed given upon receipt.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties.
