What a Sales Services Agreement Covers

A Sales Services Agreement is a written contract that defines the relationship between a seller or service provider and a buyer or client for sales-related services. It sets the scope of work, deliverables, payment terms, performance standards, intellectual property allocation, confidentiality obligations, liability limits, and termination conditions. The agreement clarifies responsibilities, timing, and remedies to reduce disputes and align expectations. It is commonly used for commissions, lead generation, account management, product onboarding, and ongoing sales support where parties need a clear record of commercial duties and compensation.

Why use a Sales Services Agreement

A clear Sales Services Agreement reduces ambiguity, documents compensation and milestones, and limits legal exposure. It helps operational teams execute work consistently and provides a contractual basis for billing, dispute resolution, and intellectual property rights.

Why use a Sales Services Agreement

Who typically prepares and signs this agreement

Companies and independent contractors in sales, marketing, and channel management commonly use Sales Services Agreements to document compensated selling activity and service deliverables.

  • Small business owners and consultants who provide sales or lead-generation services and need written compensation terms.
  • Internal sales operations teams documenting commission plans, territory assignments, and performance metrics with external partners.
  • Agencies and resellers that manage client accounts or sell products on behalf of a vendor under defined service levels.

Legal, finance, and operations stakeholders should review the agreement before execution to confirm commercial and compliance requirements are met.

Who has authority to sign

Authorized Company Signatory

An officer or manager with delegated contracting authority should sign on behalf of a business. Confirm that the signer is authorized by corporate resolution or delegation; absence of authority can render the agreement voidable and create enforceability issues in disputes.

Independent Contractor or Agent

An individual or partner signing for themselves must use their full legal name and, if applicable, include the business entity name. If signing on behalf of an entity, the signer should include title and confirm signing authority in a signature block.

Core clauses every Sales Services Agreement should include

A complete agreement balances commercial clarity with legal protections. The following clauses form the essential structure and reduce common disputes when well drafted.

Scope of Work

Define services in detail, including deliverables, acceptance criteria, exclusions, locations, and reporting requirements so both parties understand expected outputs and how success is measured.

Payment Terms

Specify compensation formula, invoicing cadence, due dates, late fees, expense reimbursement, and tax treatment to avoid payment disputes and comply with tax reporting obligations.

Term and Termination

Set the agreement duration, renewal mechanics, and termination rights for convenience, breach, or insolvency. Include notice periods and post-termination obligations such as final accounting.

Confidentiality

Protect trade secrets and customer information with a mutual or one-way confidentiality clause, including permitted disclosures and duration of obligations after termination.

IP and Work Product

Allocate ownership or license rights for deliverables, pre-existing IP, and derivative works. Specify assignment language when full transfer of rights is required for commercial use.

Liability and Indemnity

Cap liability amounts where appropriate, exclude certain damages, and define indemnification scope for third-party claims, errors, and breaches to manage financial risk exposure.

Common mistakes to avoid when preparing the agreement

  • Failing to define measurable acceptance criteria for deliverables, resulting in subjective performance disputes and settlement delays.
  • Allowing an unauthorized signer to execute the agreement, which can jeopardize enforceability and create liability for the signing party.
  • Neglecting to include data protection or confidentiality clauses where customer information or leads are exchanged, increasing regulatory and reputational risk.

Risks and potential consequences of incorrect agreements

Nonpayment Risk: Lost revenue
Tax Exposure: Incorrect reporting
Enforceability: Voidable contract
Regulatory Risk: HIPAA or privacy fines
IP Loss: Unclear ownership
