SALES STORES AGREEMENT

This Sales Stores Agreement ("Agreement") is made and entered into as of by and between:

Recitals and Scope

WHEREAS, Seller is engaged in the business of selling goods and related services for resale in stores; and WHEREAS, Buyer operates retail stores and desires to purchase and resell certain inventory from Seller under the terms set forth herein.

This Agreement governs the sale of goods identified in Section Product Schedule and the terms of delivery, pricing, returns, warranty, and other obligations of the parties.

Payment Terms

Buyer shall pay the Purchase Price in accordance with the invoice terms: Net days from invoice date. Late payments shall incur interest at the rate of per month on the unpaid balance, compounded monthly, or the maximum lawful rate if less.

Delivery; Risk of Loss; Title

Seller shall deliver goods FOB by the estimated delivery date of using the shipping method: .

Risk of loss and damage transfers to Buyer upon delivery to the carrier at Seller’s facility unless otherwise agreed in writing. Title transfers upon receipt of full payment unless otherwise agreed in writing.

Inspection; Acceptance; Nonconforming Goods

Buyer shall inspect goods within calendar days of receipt. Notice of nonconformity must be provided in writing and include a description of the deficiency. Seller shall, at its option, repair, replace, or credit nonconforming goods subject to verification.

Warranty

Seller warrants that goods delivered under this Agreement shall be free from material defects in workmanship and materials for a period of months from the date of delivery. This warranty does not cover damage resulting from misuse, modification, neglect, improper installation, or normal wear and tear.

Returns and Refunds

Authorized returns require prior written approval from Seller. Return authorization will specify shipping instructions. Returned goods accepted for credit are subject to inspection and a restocking fee of , unless otherwise agreed in writing.

Refunds, if any, will be issued following inspection and confirmation of eligibility under the Agreement.

Limitation of Liability; Indemnification

Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special, or punitive damages arising out of this Agreement. Seller's aggregate liability for direct damages shall not exceed the total amount actually paid by Buyer to Seller under the applicable purchase order giving rise to the claim.

Each party agrees to indemnify, defend, and hold harmless the other party from third-party claims arising out of the indemnifying party’s breach of this Agreement, negligence, or willful misconduct, subject to the limitations set forth herein.

Taxes and Duties

Buyer is responsible for sales, use, and other taxes applicable to resale unless Buyer provides a valid exemption certificate. Any duties, tariffs, or customs charges are the responsibility of Buyer unless otherwise agreed in writing.

Force Majeure

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, shortages, epidemics, governmental actions, or delayed performance by suppliers. The excused party shall notify the other promptly and use commercially reasonable efforts to mitigate.

Termination

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for thirty (30) days following written notice. Termination shall not affect obligations accrued prior to termination, including payment for goods delivered.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remainder shall remain in full force.

The parties agree to first attempt to resolve disputes through good faith negotiation. If resolution cannot be reached within sixty (60) days, disputes shall be resolved by binding arbitration conducted in the state identified above, under the applicable arbitration rules selected by the parties.
